\n<\/c><\/c><\/c><\/s><\/caption>\n<\/table>\n The parties acknowledge Overture has already made
\n payments to Microsoft in the amount of [*] for the
\n MSN Search Site in France pursuant to the terms of
\n Section 3.2.3 of Amendment Number 2 to the Agreement
\n and that Microsoft has only earned [*] during such
\n period. Overture shall not be required to make any
\n payments to Microsoft for the MSN Search Site in
\n France until Microsoft has fully earned such [*]
\n overpayment pursuant to the terms of this Section
\n 3.2.3.1.<\/p>\n
Defined terms herein have the same meaning as set forth in the Agreement, except
\nas otherwise provided.<\/p>\n
This Amendment No. 4 amends, modifies and supersedes to the extent of any
\ninconsistencies, the provisions of the Agreement. Except as expressly amended by
\nthis Amendment No. 4, the Agreement remains in full force and effect.<\/p>\n
IN WITNESS WHEREOF, the parties have executed this Amendment No. 4 as of the
\nAmendment No. 4 Effective Date set forth above. All signed copies of this
\nAmendment No. 4 are deemed originals. This<\/p>\n
