\n<\/c><\/c><\/c><\/s><\/caption>\n<\/table>\n4. Section 3.2.4 will be deleted in its entirety and replaced with the
\nfollowing:<\/p>\n
3.2.4 Company will make all payments due to Microsoft
\n per Section 3.2.1 and 3.2.2 in U.S. Dollars, or other
\n currency as mutually agreed by the parties within
\n forty-five (45) days after the end of each calendar
\n month. All payments will be accompanied by a
\n statement showing in reasonable detail the basis for
\n the payment(s). Company and Microsoft will mutually
\n agree on whether Company will make a single payment
\n for all amounts due hereunder or separate payments
\n for individual markets. The parties have agreed to
\n make payments in Euros for payments relating to the
\n Germany and France Search Sites, in British Pounds
\n for payments relating to the UK Search Site, and in
\n Yen for payments relating to the Japan Search Site.<\/p>\n

3. The New Market Test Period for Japan is over and Japan is added as a
\nnew “MSN Search Site” until the end of the Main Period Term pursuant to the
\nterms of Section 1 (e) of Amendment No. 1 to this Agreement.<\/p>\n
Defined terms herein have the same meaning as set forth in the Agreement, except
\nas otherwise provided.<\/p>\n
This Amendment No. 5 amends, modifies and supersedes to the extent of any
\ninconsistencies, the provisions of the Agreement. Except as expressly amended by
\nthis Amendment No. 5, the Agreement remains in full force and effect.<\/p>\n
IN WITNESS WHEREOF, the parties have executed this Amendment No. 5 as of the
\nAmendment No. 5 Effective Date set forth above. All signed copies of this
\nAmendment No. 5 are deemed originals. This Amendment No. 5 does not constitute
\nan offer by either party. This Amendment No. 5 is effective upon execution on
\nbehalf of Company and Microsoft by their duly authorized representatives.<\/p>\n
