{"id":42593,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/naval-industrial-reserve-ordnance-plant-fridley-mn-offer-to.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"naval-industrial-reserve-ordnance-plant-fridley-mn-offer-to","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/operations\/naval-industrial-reserve-ordnance-plant-fridley-mn-offer-to.html","title":{"rendered":"Naval Industrial Reserve Ordnance Plant (Fridley, MN) Offer to Purchase &#8211; United Defense LP and United States of America"},"content":{"rendered":"<pre><p align=\"center\"><b>OFFER TO PURCHASE<\/b>\n\n\n<\/p><p>The undersigned, UNITED DEFENSE, L.P., a Delaware limited partnership, whose\naddress is 4800 East River Road, Fridley, Minnesota 55421, hereinafter called\nthe Purchaser, hereby offers to purchase from the UNITED STATES OF AMERICA,\nacting by and through the General Services Administration, hereinafter called\nthe Government, on the terms and subject to the conditions hereinafter set\nforth, certain real estate known as the Naval Industrial Reserve Ordnance\nPlant, Fridley, Minnesota, (referred to herein as \u0093Land and Buildings\u0094) which\nis more particularly described in Exhibit A, Legal Description, and personal\nproperty (referred to herein as \u0093Machinery and Equipment\u0094) which is more\nparticularly described in Exhibit B, List of Machinery and Equipment, both of\nwhich exhibits are attached hereto and made a part hereof (collectively\nreferred to herein as the \u0093Property\u0094).\n\n<\/p><p>The Purchaser shall pay the Government for said Property the purchase price of\nEIGHT MILLION EIGHT HUNDRED THOUSAND DOLLARS ($8,800,000.00), of which the sum\nof EIGHT HUNDRED EIGHTY THOUSAND DOLLARS ($880,000.00), as earnest money, by\nwire transfer directed on the date of acceptance of this offer to the bank or\ndepository designated in writing by the General Services Administration, and\nthe balance of the purchase price, SEVEN MILLION NINE HUNDRED TWENTY THOUSAND\nDOLLARS ($7,920,000), together with interest at the rate of six and six hundred\ntwenty five thousands of a percent (6.625%) per year is to be paid in equal\nmonthly installments of principal and interest according to a twenty year\namortization schedule with a balloon payment equal to the unpaid balance due\nfive years from the date of the first payment.\n\n<\/p><p align=\"center\">TERMS AND CONDITIONS\n\n\n<\/p><p>\n<\/p><\/pre>\n<table width=\"100%\" border=\"0\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>1.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">DEFENSE PRODUCTION CAPABILITY. United Defense agrees to maintain a<br \/>\ncapability of performing its Government contracts and subcontracts for a<br \/>\nminimum of five years from the date of the Closing.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>2.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">PROMISSORY NOTE AND LETTER OF CREDIT. A promissory note obligating the<br \/>\nPurchaser to pay the balance of the purchase price shall be prepared by<br \/>\nthe Government for execution by the Purchaser at the Closing. Said note is<br \/>\nto be secured by an irrevocable letter of credit in the amount of Seven<br \/>\nMillion Nine Hundred Twenty Thousand Dollars in a form acceptable to both<br \/>\nparties. Said letter of credit is to be reduced by the principal amount<br \/>\nof each payment made to the Government upon notification submitted by the<br \/>\nPurchaser to the issuer within thirty (30) days after each payment is<br \/>\nmade. In the event the Purchaser fails to make any payment within ten (10)<br \/>\ndays of its due date, the Government may notify the Purchaser in writing<br \/>\nthat it intends to draw down the letter of credit by reason of Purchaser\u0092s<br \/>\ndefault in making timely payment. Thirty (30) days after delivery to<br \/>\nPurchaser of such notification and in the event Purchaser has not by that<br \/>\ntime remedied any such default, including payment of any interest and late<br \/>\npayment due, the Government may drawn down the letter of credit according<br \/>\nto its terms. Purchaser shall pay to the Government, in addition to<br \/>\ninterest on the outstanding principal balance, a penalty in the amount of<br \/>\none percent (1%) on any installment of principal and interest made more<br \/>\nthan ten (10) days after its due date.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>3.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">NOTE; PROVISIONS. The promissory note shall include the following, which<br \/>\nshall remain in effect until the note is paid in full:<\/td>\n<\/tr>\n<\/table>\n<p align=\"center\">\n<\/p>\n<hr noshade>\n<h5 align=\"left\" style=\"page-break-before:always\"> <\/h5>\n<\/p>\n<table width=\"100%\" border=\"0\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"top\">\n<td width=\"3%\"> <\/td>\n<td width=\"1%\" align=\"left\" nowrap>a.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"93%\">A requirement for provision of insurance coverage equal to the<br \/>\nmonetary value of the Property or the outstanding principal balance<br \/>\ndue under the note, whichever is the lesser; Purchaser will assure<br \/>\nthat such insurance policy identifies the Government as a named<br \/>\ninsured and contains a provision which requires the insurer to give<br \/>\nthe Government written notice at least ten (10) days in advance of any<br \/>\npolicy termination or expiration, addressed to General Services<br \/>\nAdministration, 10 Causeway Street, Boston, MA 02222, Attention:<br \/>\nChief, Boston Operations Branch, Property Disposal Division, Public<br \/>\nBuildings Service;<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"3%\"> <\/td>\n<td width=\"1%\" align=\"left\" nowrap>b.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"93%\">A provision that the principal obligation may be prepaid in full<br \/>\nor in part at any time prior to the end of the five year period<br \/>\nreferenced above without penalty.<\/td>\n<\/tr>\n<\/table>\n<table width=\"100%\" border=\"0\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>4.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">FINANCIAL DATA AND REFERENCES. Purchaser agrees to furnish financial<br \/>\ndata, references, and such other information as may be requested by the<br \/>\nGeneral Services Administration but only to the extent of such financial<br \/>\ninformation as it has already provided or will in the future provide to<br \/>\nother agencies of the Government.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>5.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">CONDITION OF PROPERTY. Subject to the environmental exceptions set forth<br \/>\nin Paragraphs 11 through 16 hereof, the Property is offered \u0093as is\u0094 and<br \/>\n\u0093where is\u0094 without representation, warranty, or guarantee as to quality,<br \/>\nquantity, character, condition, size, or kind, or that the same is in<br \/>\ncondition or fit to be used for the purpose for which it is intended and<br \/>\nno claim for any allowance or deduction upon such grounds will be<br \/>\nconsidered.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>6.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">CONTINUING OFFER. This offer shall be deemed a firm and continuing offer<br \/>\nfrom the date of receipt until accepted or rejected by the Government;<br \/>\nprovided, however, that after 120 days have elapsed from the date of<br \/>\nreceipt, the Purchaser not having received notice of rejection may<br \/>\nconsider its offer rejected, and if the Government desires to accept the<br \/>\noffer after such 120 days, it shall not be so entitled unless the written<br \/>\nconsent of the Purchaser shall first be obtained.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>7.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">NOTICE OF ACCEPTANCE OR REJECTION. Notice by the Government of acceptance<br \/>\nor rejection of the offer shall be deemed to have been sufficiently given<br \/>\nwhen transmitted by facsimile or mailed to the Purchaser or its duly<br \/>\nauthorized representative at the address indicated in the offer.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>8.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">EARNEST MONEY DEPOSIT. Upon acceptance of this offer the deposit shall be<br \/>\napplied toward payment of the Purchaser\u0092s obligation to the Government. In<br \/>\nthe event the offer is rejected, including any deemed rejection by the<br \/>\nPurchaser under Paragraph 6 above, the earnest money deposited shall be<br \/>\nreturned, without interest, within thirty calendar days after rejection of<br \/>\nthe offer.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>9.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">CONVEYANCE OF TITLE. On the date of closing, the Purchaser shall execute<br \/>\nthe promissory note and tender the irrevocable letter of credit as<br \/>\nprovided in Paragraphs 2 and 3 hereof. On the date of closing, the<br \/>\nGovernment shall convey title to the Property to Purchaser by quitclaim<br \/>\ndeed and bill of sale in conformity with local law and practice.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>10.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">OBJECTS AFFECTING NAVIGABLE AIRSPACE. Because of the proximity of the<br \/>\nProperty to Crystal Airport, the Purchaser agrees for itself and its<br \/>\nsuccessors and assigns, that if required by applicable law and\/or<br \/>\nregulations it will prohibit all construction or alteration on the<br \/>\nproperty unless a determination of no hazard to air navigation is issued<br \/>\nby the Federal Aviation Administration in accordance with Title 14, Code<br \/>\nof Federal Regulations Part 77, \u0093Objects Affecting Navigable Airspace\u0094 (14<br \/>\nCFR Part 77), or under the authority of the Federal Aviation Act of 1958,<br \/>\nas amended.<\/td>\n<\/tr>\n<\/table>\n<p align=\"center\">\n<\/p>\n<hr noshade>\n<h5 align=\"left\" style=\"page-break-before:always\"> <\/h5>\n<\/p>\n<table width=\"100%\" border=\"0\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>11.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">NATIONAL PRIORITY LIST STATUS. The U.S. Environmental Protection Agency<br \/>\n(EPA) has listed the<br \/>\nProperty on the National Priority List. The Navy has entered into a Federal<br \/>\nFacilities Agreement ( the FFA) with EPA and the Minnesota Pollution Control<br \/>\nAgency (the MPCA) which describes the environmental remediation on the<br \/>\nproperty to be carried out by the Navy. The adjoining property that is owned<br \/>\nby the Purchaser is the subject of an agreement between the Purchaser and the<br \/>\nMPCA that describes the environmental remediation to be carried out by the<br \/>\nPurchaser on the adjoining property that it owns. In addition, the Government<br \/>\nand Purchaser, as co-permittees, are covered by corrective action<br \/>\nrequirements under the plant\u0092s RCRA Hazardous Waste Storage Permit. Under a<br \/>\nseparate agreement between FMC Corporation, Purchaser\u0092s predecessor in<br \/>\ninterest, and the Government, dated December 3, 1987, FMC acknowledged that<br \/>\nit had accepted responsibility for any investigation and cleanup of property<br \/>\nnow owned by Purchaser adjacent to the Property pursuant to corrective action<br \/>\nrequirements set forth in two Administrative Orders and Interim Response<br \/>\nOrders by Consent FMC entered into with the MPCA, one dated June 8, 1983 and<br \/>\nthe second dated October 14, 1986. Purchaser accepted full responsibility for<br \/>\nperforming said Orders in place of FMC Corporation by agreement with FMC<br \/>\neffective January 1,1994, and it herewith reaffirms such acceptance.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>12.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">DISCLOSURE OF GROUNDWATER AND SOIL CONDITIONS. Samples of groundwater and<br \/>\nsoil at the Property show the groundwater and soil to contain<br \/>\ncontaminants. The Navy has contracted with environmental services<br \/>\ncompanies to remediate the contamination and other contracts will be<br \/>\nentered into in the future for such services. Equipment has been installed<br \/>\nand processes are being carried out on the Property for environmental<br \/>\nremediation. An Environmental Baseline Survey (EBS) dated October 1997<br \/>\n(see paragraph 20 below) has been prepared to show the location of<br \/>\ncontaminated sites and remediation sites. These remediation efforts will<br \/>\ncontinue after the Property has been sold and title conveyed until they<br \/>\nare completed to the satisfaction of the EPA and the MPCA and in<br \/>\naccordance with the FFA.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>13.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">RESTRICTIONS ON GROUNDWATER. The Purchaser agrees for itself and its<br \/>\nsuccessors and assigns that if prohibited by the EPA, the MPCA or<br \/>\napplicable law, it shall not use or remove groundwater migrating<br \/>\nunderneath the Property, nor in any way affect the condition or flow of<br \/>\nsuch groundwater without the prior written authorization of the Navy until<br \/>\nthe Navy has certified to the Purchaser or its successors or assigns that<br \/>\nthe groundwater remediation has been completed in accordance with<br \/>\nParagraph 11. Thereafter, use of existing wells and any proposed new<br \/>\nwells, will be strictly subject to all required approvals of regulatory<br \/>\npersonnel.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>14.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">RESTRICTIONS ON USE OF SOIL. The Purchaser agrees for itself and its<br \/>\nsuccessors and assigns that if prohibited by the EPA, the MPCA or<br \/>\napplicable law soils that may be designated by the Navy and concurred in<br \/>\nby the EPA and\/or the MPCA as being contaminated shall not be removed, and<br \/>\nthat if required by the EPA, the MPCA or applicable law there shall be no<br \/>\nmajor excavations nor any other material disturbance of the soil in these<br \/>\nareas without the prior written authorization of the EPA or the MPCA, as<br \/>\nthe case may be. (Limited excavations for such purposes as utilities<br \/>\ninstallations and machine foundations may be performed with the prior<br \/>\nconsent of the Navy provided such consent shall not be unreasonably<br \/>\nwithheld) These restrictions shall be in effect until the Navy has<br \/>\ncertified to the Purchaser that the remediation of such soils has been<br \/>\ncompleted in accordance with Paragraph 11 above.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>15.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">RESERVATION OF REMEDIATION EQUIPMENT AND RIGHTS OF ACCESS. The Government<br \/>\nand its contractors, licensees, and assigns shall remove all wells, pumps,<br \/>\npiping, tanks, and related equipment used to study or remediate the<br \/>\ngroundwater and soil upon completion of remediation. The Government<br \/>\nreserves for itself and its contractors, licensees, and assigns rights of<br \/>\ningress and egress to operate, maintain, repair, replace, or modify such<br \/>\nequipment during the course of remediation and subsequent removal. Said<br \/>\nrights of ingress and egress are to be exercised in coordination with the<br \/>\nPurchaser, its successors or assigns to minimize interference with use of<br \/>\nthe property by the Purchaser, its successors and assigns. The Government<br \/>\nshall be responsible in a manner not inconsistent with applicable law for<br \/>\nall property loss or damage and all personal injuries (including death)<br \/>\narising out of or associated with the operation, maintenance, repair,<br \/>\nreplacement,<\/td>\n<\/tr>\n<\/table>\n<p align=\"center\">\n<\/p>\n<hr noshade>\n<h5 align=\"left\" style=\"page-break-before:always\"> <\/h5>\n<\/p>\n<table width=\"100%\" border=\"0\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap> <\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">modification, and\/or removal of such equipment. Any Government contractor,<br \/>\nlicensee or assign performing any such work shall provide certificates of<br \/>\ninsurance satisfactory to Purchaser covering all property loss or damage and<br \/>\nall personal injury (including related costs and expenses) that may occur<br \/>\nresulting from or relating to the work or presence of any such contractor,<br \/>\nlicensee, assign or their employees or contract workers on or in connection<br \/>\nwith the Property.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>16.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">EFFECT OF CHANGED SITE CONDITIONS ON REMEDIATION. The Purchaser and its<br \/>\nsuccessors and assigns shall bear all reasonable costs of replacement<br \/>\nand\/or relocation of remediation installations and equipment necessitated<br \/>\nby the Purchaser\u0092s changes to the Land or Buildings. This includes an<br \/>\nobligation to construct a heated shelter if remediation activities are<br \/>\ndisplaced from existing buildings. Such replacement and relocation shall<br \/>\nbe carried out by the Navy or its remediation contractors which will<br \/>\ncoordinate with the Purchaser to minimize interference with Purchaser\u0092s<br \/>\nuse of the Property.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>17.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">PURCHASER SHALL COOPERATE AND NOT INTERFERE WITH ENVIRONMENTAL STUDIES<br \/>\nAND REMEDIATION. Purchaser agrees for itself and its successors and<br \/>\nassigns that it shall cooperate with the Government, its environmental<br \/>\ncontractors, and environmental regulatory personnel in their environmental<br \/>\nremediation efforts, including related environmental studies. Such<br \/>\ncooperation includes granting reasonable access to buildings and other<br \/>\nparts of the Property as provided in Paragraphs 11 through 16, hereof,<br \/>\nallowing connections to utilities and permitting the use of Purchaser\u0092s<br \/>\ndrawings. The Government agrees to pay the costs of all utilities used in<br \/>\nconnection with the operation, maintenance, repair, replacement,<br \/>\nmodification and removal of all wells, pumps, piping, tanks, and other<br \/>\napparatus and equipment used in connection with remediation of groundwater<br \/>\nand soil, provided it is understood that Purchaser shall not be obligated<br \/>\nto pay any of such costs, either directly or out of overhead. The<br \/>\nGovernment and its contractors will use reasonable efforts to minimize<br \/>\ninterference with the activities and property of the Purchaser, its<br \/>\nsuccessors and assigns. The Purchaser further agrees for itself and its<br \/>\nsuccessors and assigns that it shall not interfere with the Government\u0092s<br \/>\nenvironmental studies and remediation.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>18.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">ENVIRONMENTAL RESTRICTIONS ON USE. The environmental remediation to be<br \/>\ncarried out by the Navy shall be sufficient to use the Property for<br \/>\nindustrial uses as such uses are defined by the MPCA, and described in the<br \/>\nEPA\u0092s Five Year Review of the property, as of the date of acceptance of<br \/>\nthis offer. Future uses of the Property will be restricted to such<br \/>\nindustrial uses. This restriction shall be memorialized in the deed in<br \/>\naccordance with Paragraph 39 below. Unless required by the EPA, the MPCA<br \/>\nor the FFA, the Government shall have no responsibility whatsoever for any<br \/>\nenvironmental remediation that may be required to use the Property for<br \/>\nother than said industrial uses, nor shall the Government have any<br \/>\nliability for, or related to, any additional remediation that may be<br \/>\nundertaken by the Purchaser.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>19.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">NO RIGHTS WAIVED BY THE PARTIES. Nothing in this offer nor in the<br \/>\ncontract formed by acceptance of this offer is to be construed as a waiver<br \/>\nby either the Government or the Purchaser of any rights either party may<br \/>\nhave against parties deemed responsible for the environmental condition of<br \/>\nthe Property.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>20.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">DISCLOSURE OF ENVIRONMENTAL CONDITIONS. The Government has had prepared a<br \/>\nstudy of the environmental condition of the Property known as an<br \/>\nEnvironmental Baseline Survey (EBS) and a Finding of Suitability to<br \/>\nTransfer (FOST). A copy of the EBS is attached hereto as Exhibit C. A copy<br \/>\nof the FOST is attached as Exhibit D.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>21.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">NOTICE OF THE PRESENCE OF ASBESTOS. The Naval Industrial Reserve Ordnance<br \/>\nPlant at Fridley, Minnesota, contains asbestos. The condition of the<br \/>\nasbestos-containing materials is varied, but most such materials are<br \/>\nbelieved to be undamaged, friable asbestos. The parties acknowledge that the<br \/>\nmain industrial building of the Naval Industrial Reserve Ordnance Plant is<br \/>\nnot in compliance with local fire safety regulations. The Government has<br \/>\nhad a study prepared that analyzes the main industrial building\u0092s fire<br \/>\nsafety deficiencies and proposes compensatory measures. A copy of said<br \/>\nstudy was furnished the Purchaser, and the Purchaser and the Government<br \/>\ndiscussed the compensatory measures with City of Fridley fire safety and<br \/>\nbuilding inspectors. The Government shall not be liable for any expense<br \/>\nrelated to bringing the property into compliance with fire safety<br \/>\nregulations.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>23.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">CONTRACT. This offer and the acceptance hereof shall constitute an<br \/>\nagreement between the Purchaser and the Government (\u0093Agreement\u0094). Such<br \/>\nAgreement shall constitute the entire contract between the parties. No<br \/>\noral statements or representations made by, or for, or on behalf of either<br \/>\nparty shall be a part of such contract. During the period between the<br \/>\nGovernment\u0092s acceptance hereof pursuant to Paragraph 6 and the Closing,<br \/>\nPurchaser shall not assign this Agreement without the prior written<br \/>\nconsent of the Government. The Government may rescind its acceptance at any time prior<br \/>\nto conveyance, if it is reasonably determined by the Government that such<br \/>\naction is justified in the light of circumstances then prevailing. In<br \/>\nsuch event, all moneys paid by Purchaser hereunder shall be refunded,<br \/>\nwithout interest, within forty five (45) days of the Government\u0092s<br \/>\nrescission.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>25.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">POSSESSION. The Purchaser is currently in possession of the property<br \/>\npursuant to existing contracts with various agencies of the Government and<br \/>\nmay remain in possession subject to those contracts.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>26.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">RISK OF LOSS. Upon conveyance of title the Purchaser shall have all<br \/>\nresponsibility for care and handling and all risks of loss or damage to<br \/>\nthe property and have all obligations and liabilities of ownership subject<br \/>\nto paragraph 8 hereof.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>27.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">TITLE EVIDENCE. Any title evidence which may be desired by the Purchaser<br \/>\nwill be procured by it at its sole cost and expense. The Government will,<br \/>\nhowever, cooperate with the Purchaser or its authorized agent in this<br \/>\nconnection and will permit examination and inspection of any documents<br \/>\nrelating to the title of the Property involved as it may have available.<br \/>\nIt is understood that the Government will not be obligated to pay for any<br \/>\nexpense incurred in connections with title matters or survey of the Land<br \/>\nand Buildings.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>28.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">LIABILITY. If this Offer to Purchase is accepted and: (a) the Government<br \/>\nfails for any reason to perform its obligations as set forth herein; or<br \/>\n(b) title to the property does not transfer and vest in the Purchaser for<br \/>\nreasons outside the Purchaser\u0092s control, the Government shall promptly<br \/>\nrefund to the Purchaser all amounts paid by the Purchaser, without<br \/>\ninterest, and any letter of credit issued to the Government in this<br \/>\ntransaction shall be cancelled without obligation by either party,<br \/>\nwhereupon the Government shall have no further liability to the Purchaser<br \/>\nunder this Agreement.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>29.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">LIABILITY FOR TAXES. Upon conveyance of the Property the Purchaser shall<br \/>\nassume responsibility for all general and special real and personal<br \/>\nproperty taxes on the Property which become due and payable after the<br \/>\nClosing. Sums paid, or due and payable, in lieu of taxes pursuant to<br \/>\nstatutory authority for all periods prior to closing are the<br \/>\nresponsibility of the Government. All such taxes and sums in lieu of taxes<br \/>\ndue and payable in the year the Closing takes place shall be prorated<br \/>\nbetween the Government and Purchaser. It is Purchaser\u0092s understanding that<br \/>\nthe Government does not owe any past due taxes or past due payments in<br \/>\nlieu of taxes on the Property.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>30.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">TAXES AND RECORDING. The Purchaser shall pay all taxes imposed on this<br \/>\ntransaction and shall obtain at its own expense and affix to all<br \/>\ninstruments of conveyance and security documents such revenue and<br \/>\ndocumentary stamps as may be required by Federal and local law. All<br \/>\ninstruments of conveyance shall be placed on record in the manner<br \/>\nprescribed by local recording statutes at the Purchaser\u0092s expense.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>31.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">ASSIGNMENT OF LEGAL PAPERS. At the Closing, Government shall assign to<br \/>\nPurchaser all contracts, permits and other legal papers necessary for the<br \/>\nongoing operation of the facility for the purposes required for the<br \/>\noperation of the facility prior to the Closing.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>32.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">ANTITRUST LAWS. The contract formed by the Government\u0092s acceptance of<br \/>\nthis offer may be forwarded to the Attorney General of the United States<br \/>\nfor his advice as to whether the sale would tend to create or maintain a<br \/>\nsituation inconsistent with the antitrust laws. Any such advice received<br \/>\nfrom the Attorney General shall be effective only if (i) it is in writing<br \/>\nand (ii) either a copy of such advice is delivered to Purchaser or a<br \/>\nGovernment official certifies to Purchaser in writing in reasonable detail<br \/>\nthe substance of such advice. The<\/td>\n<\/tr>\n<\/table>\n<p align=\"center\">\n<\/p>\n<hr noshade>\n<h5 align=\"left\" style=\"page-break-before:always\"> <\/h5>\n<\/p>\n<table width=\"100%\" border=\"0\" cellpadding=\"0\" cellspacing=\"0\">\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap> <\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">acceptance of the offer by the Government may be rescinded by the Government<br \/>\nin the event unfavorable advice is received from the Attorney General. No member of or delegate to the Congress, or<br \/>\nresident commissioner, shall be admitted to any share or part of the<br \/>\ncontract of sale or to any benefit that may arise therefrom, but this<br \/>\nprovision shall not be construed to extend to the contract of sale if made<br \/>\nwith a corporation for its general benefit.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>34.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">COVENANT AGAINST CONTINGENT FEES. The Purchaser warrants that it has not<br \/>\nemployed or retained any person or agency to solicit or secure this<br \/>\ncontract upon any agreement or understanding for a commission, percentage,<br \/>\nbrokerage, or contingent fee. Breach of this warranty shall give the<br \/>\nGovernment the right to annul the contract without liability or in its<br \/>\ndiscretion to recover from the Purchaser the amount of such commission,<br \/>\npercentage, brokerage or contingent fee in addition to the consideration<br \/>\nherein set forth. This warranty shall not apply to commissions payable by<br \/>\nthe Purchaser upon the contract secured or made through bona fide<br \/>\nestablished commercial agencies maintained by the Purchaser for the<br \/>\npurpose of doing business. \u0093Bona fide commercial agencies\u0094 has been<br \/>\nconstrued to include licensed real estate brokers engaged in the business<br \/>\ngenerally. Further, this warranty shall not apply to intracompany bonuses<br \/>\nor similar remuneration paid by Purchaser to some or all of Purchasers\u0092<br \/>\nemployees based on achievement of performance goals or objectives.<\/td>\n<\/tr>\n<tr>\n<td> <\/td>\n<\/tr>\n<tr valign=\"top\">\n<td width=\"1%\" align=\"left\" nowrap>35.<\/td>\n<td width=\"3%\"> <\/td>\n<td width=\"96%\">INFORMATION ABOUT USE. Stat. 115B.17<br \/>\nthat, once signed, is intended to be filed with the deed and run with the<br \/>\nland. It is also understood that the Government is invited to participate<br \/>\nin these negotiations. Based on Purchaser\u0092s review of MPCA\u0092s Model<br \/>\nDeclaration of Restrictions and Covenants, it is expected that these<br \/>\nnegotiations will go smoothly and within a matter of a month or so result<br \/>\nin a signed Declaration.
