The\namendments follow:\n\nA.   The first sentence of Section 11.11 of the base OEM Agreement is\nreplaced with the following sentence:\n\n'Except as otherwise provided in [**] Products and Upgrades that are supplied to\nIBM hereunder will consist of new parts and components.'\n\nB.   The person responsible for receiving notices for IBM related to\nforecasts, orders and shipments in Section 26.3 of the base OEM Agreement is\nchanged from [**] to [**].\n\nC.   The following footnote is added after the Volume Date of [**] for the\n[**] and [**] Deliverables: ' [**]\n\nD.   The 'Note' in the last paragraph of Section 6, i.e., Deliverables,\nSchedules and Adjustments, of Attachment 1 to Exhibit 3, i.e., the Statement of\nWork, is deleted in its entirety.\n\nAll other terms and conditions of the above-referenced agreement that are\nunaffected by this amendment shall remain in full force and effect.
