or &#8220;Monterey&#8221;), and Storage Technology Corporation,<br \/>\nhaving an office for the transaction of business at 2270 South 88th Street,<br \/>\nLouisville, Colorado 80028 (hereinafter called &#8220;StorageTek,&#8221; &#8220;STK&#8221; or &#8220;Oahu&#8221;).<br \/>\nStorageTek and IBM may be individually referred to herein as a &#8220;Party&#8221; and<br \/>\ncollectively as the &#8220;Parties.&#8221;<\/p>\n<p>BACKGROUND<\/p>\n<p>StorageTek manufactures and sells, among others, certain Equipment as more<br \/>\nfully described below. IBM  wishes to purchase such Equipment from StorageTek<br \/>\non an Original Equipment Manufacturer (OEM) basis at large volume prices in<br \/>\norder to resell or lease such Equipment to its customers throughout the world,<br \/>\nboth directly and indirectly through its distributors, Subsidiaries, and other<br \/>\nchannels.  In order to secure access to IBM&#8217;s distribution channels, to provide<br \/>\nStorageTek with the opportunity to reach more customers, to provide more<br \/>\nproduct choices for customers and also due to IBM&#8217;s willingness to invest a<br \/>\nsubstantial amount in product research and development and in product<br \/>\nengineering, StorageTek is willing to sell such Equipment to IBM at such prices<br \/>\nif IBM will purchase a substantial amount of the Products and Upgrades,<br \/>\nadvertise and market the Products and Upgrades, provide maintenance and repair<br \/>\nservice for the Equipment sold or leased by it, maintain an inventory of spare<br \/>\nparts and take certain other related actions.<\/p>\n<p>The provisions of this section are intended to generally explain the reasons<br \/>\nthat StorageTek and IBM have entered into this Agreement, but do not constitute<br \/>\na portion of the contractual obligations, terms or conditions agreed to by the<br \/>\nParties, which are set forth in the following sections of this Agreement.<\/p>\n<p>                                WITNESSETH THAT:<\/p>\n<p>In  consideration of the mutual premises and covenants herein contained, the<br \/>\nParties hereto agree as follows:<\/p>\n<p>1.       DEFINITIONS<\/p>\n<p>         1.1              &#8220;Agreement&#8221; shall mean this OEM Agreement, its<br \/>\n                          Exhibits, their Attachments, their Appendices and<br \/>\n                          their Schedules.<\/p>\n<p>         1.2              &#8220;Agreement Administrator&#8221; shall have the meaning set<br \/>\n                          forth in Section 5.<\/p>\n<p>         1.3              &#8220;Annual Volumes&#8221; shall have the meaning set forth in<br \/>\n                          Section 6.1.<\/p>\n<p>         1.4              &#8220;APAR&#8221; shall mean a completed form entitled<br \/>\n                          &#8220;Authorized Program Analysis Report,&#8221; that is used by<br \/>\n                          IBM to report suspected Code or documentation errors<br \/>\n                          in a<\/p>\n<p>   9<br \/>\n                          Licensed Program (including updates or enhancements<br \/>\n                          thereto) and to request their investigation and<br \/>\n                          correction.<\/p>\n<p>         1.5              &#8220;Audit Rights&#8221; (Section 7.5c) shall mean a Party&#8217;s<br \/>\n                          right to have Price Waterhouse, Arthur Andersen or<br \/>\n                          Ernst &amp; Young, or their lawful successors, audit the<br \/>\n                          other Party&#8217;s books and records on reasonable prior<br \/>\n                          notice for the purpose of making a factual<br \/>\n                          determination of whether a specified event has<br \/>\n                          occurred.  The Parties shall request the firms in the<br \/>\n                          order set forth above, and shall only request the<br \/>\n                          second or third listed firm if the earlier listed<br \/>\n                          firms decline to serve.  In carrying out such audit<br \/>\n                          responsibilities, said accounting firm shall use<br \/>\n                          generally accepted accounting principles (hereafter<br \/>\n                          &#8220;GAAP&#8221;), as consistently applied by the audited<br \/>\n                          party. Any Impact Error due to improper<br \/>\n                          use of the Equipment by the customer, or an IBM agent<br \/>\n                          or employee will be excluded.<\/p>\n<p>         1.32             &#8220;Invention&#8221; shall mean any idea, design, concept,<br \/>\n                          process, technique, invention, discovery or<br \/>\n                          improvement, whether or not patentable, either<br \/>\n                          conceived or reduced to practice solely by one or<br \/>\n                          more employees of one of the Parties or its<br \/>\n                          Subsidiaries (Inventing Party) or jointly by one or<br \/>\n                          more employees of  IBM or its Subsidiaries and one or<br \/>\n                          more employees of StorageTek or its Subsidiaries<br \/>\n                          (Joint Invention) in the performance, and during the<br \/>\n                          term, of this Agreement.<\/p>\n<p>         1.33             &#8220;Level 1&#8221; support are those activities that assist<br \/>\n                          the user in resolving &#8220;how to&#8221; and operational-type<br \/>\n                          questions, as well as technical questions on<br \/>\n                          installation procedures.<\/p>\n<p>         1.34             &#8220;Level 2&#8221; support are those activities that require<br \/>\n                          additional research and analysis of a user problem.<br \/>\n                          The Problem Management System database is checked to<br \/>\n                          locate a duplicate of the problem being reported and<br \/>\n                          the previous solution applied to that problem.<\/p>\n<p>         1.35             &#8220;Level 3&#8221; SCOPE OF AGREEMENT<\/p>\n<p>         2.1     StorageTek agrees to develop IBM requested enhancements to the<br \/>\n                 Equipment, to provide continuing engineering and marketing and<br \/>\n                 service support for the Equipment, and to manufacture, test,<br \/>\n                 sell and Deliver Equipment to IBM and desires that IBM supply<br \/>\n                 Drives for use in such Equipment all in accordance with the<br \/>\n                 Specifications, procedures and conditions contained in this<br \/>\n                 Agreement.<\/p>\n<p>         2.2     IBM (i) agrees to fund the continuing engineering on, and the<br \/>\n                 future development of, specific enhancements to the Equipment<br \/>\n                 as set forth in the IDA, (ii) intends to add value to such<br \/>\n                 Equipment by consigning IBM Drives to StorageTek for inclusion<br \/>\n                 in the Equipment, and (iii) has the right to market and sell<br \/>\n                 Equipment purchased from StorageTek, all in accordance with<br \/>\n                 the terms of this Agreement.<\/p>\n<p>         2.3     Changes to Specifications, procedures and conditions contained<br \/>\n                 in the Agreement, its Exhibits, their Attachments and their<br \/>\n                 Schedules may be made from time to time upon mutual written<br \/>\n                 agreement, specifically identifying this Agreement and stating<br \/>\n                 an intent to make such changes.<\/p>\n<p>3.       TERM OF AGREEMENT<\/p>\n<p>         Unless earlier terminated, the term of this Agreement shall be for a<br \/>\n         period from the date first set forth above (hereinafter &#8220;Effective<br \/>\n         Date&#8221;), through December 31, 1999.<\/p>\n<p>4.       COMPONENTS<\/p>\n<p>         Because the Equipment purchased by IBM from StorageTek is likely to be<br \/>\n         associated with the IBM brand, IBM wishes to be assured that such<br \/>\n         Equipment, when sold to its customers, will have the quality that its<br \/>\n         customers expect from items so branded.  Accordingly, IBM believes<br \/>\n         that, to the extent that StorageTek can utilize components in such<br \/>\n         Equipment that are manufactured by or for IBM under its high quality<br \/>\n         standards, it would be desirable for StorageTek to obtain such<br \/>\n         components from IBM for use in manufacturing the Equipment. **<\/p>\n<p>5.       AGREEMENT ADMINISTRATOR<\/p>\n<p>         Each Party will identify an Agreement Administrator no later than June<br \/>\n         15, 1996, who shall have overall responsibility for managing this<br \/>\n         Agreement for such Party.  Until such time, the Agreement<br \/>\n         Administrators are set forth below.  The Agreement Administrators may<br \/>\n         not amend the terms of this Agreement.  In addition to other<br \/>\n         responsibilities as may be agreed,<\/p>\n<p>&#8211; &#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<\/p>\n<p>**     Confidential portions omitted and filed separately with the Securities<br \/>\n       and Exchange Commission under an application for confidential treatment.<\/p>\n<p>                                       9<br \/>\n   17<br \/>\nsuch Administrators or any successor named by the Party designating such<br \/>\nAdministrator, will complete as soon as possible after the Effective Date, and<br \/>\nwill update throughout the term of this Agreement their respective entries in<br \/>\nExhibit 6, &#8220;Data Items.&#8221; The Administrators shall also be responsible for the<br \/>\nexchange of data, as provided in this Agreement.<\/p>\n<p>         The Agreement Administrators are:<\/p>\n<p>         For StorageTek:            **<\/p>\n<p>         For IBM:                   **<\/p>\n<p>6.       PURCHASE COMMITMENTS<\/p>\n<p>         6.1     1996-1998  **  VOLUMES<\/p>\n<p>                 IBM intends to purchase a specified volume of Products and<br \/>\n                 Qualified Upgrades during 1996, 1997 and 1998 from StorageTek<br \/>\n                 **  (hereafter  **  ).  The   **   Volumes, based upon the<br \/>\n                 capacity, in Terabytes, of Products and Qualified Upgrades<br \/>\n                 purchased by IBM and credited to IBM pursuant to other<br \/>\n                 provisions of this Agreement,  are    **  Terabytes in 1996,<br \/>\n                 **   Terabytes in 1997, and   ** Terabytes in 1998.  If IBM&#8217;s<br \/>\n                 purchases and credits do not equal or exceed the   **<br \/>\n                 Volume, then IBM will make Recovery Payments as set forth in<br \/>\n                 Section 7.6, and, in certain circumstances, IBM will be<br \/>\n                 obligated to pay Liquidated Damages as set forth in Section<br \/>\n                 6.5b or 6.5c.<\/p>\n<p>         6.2     1999   **   VOLUMES\/PRICING<\/p>\n<p>                 IBM may continue to purchase Products and Upgrades from<br \/>\n                 StorageTek during 1999 according to the process detailed<br \/>\n                 below:<\/p>\n<p>                 a. Thirty (30) days<br \/>\n                       prior to each Notification Date described in paragraph<br \/>\n                       6.2a, above, StorageTek shall provide a price quote to<br \/>\n                       IBM for Products to be shipped to IBM in the<br \/>\n                       corresponding  ** as indicated above.  Such price shall<br \/>\n                       be the greater of:<\/p>\n<p>                       (1)     **<\/p>\n<p>                       (2)     **<\/p>\n<p>                       IBM&#8217;s purchase volumes for  **   (hereafter &#8221;  **<br \/>\n                       Volumes&#8221;) shall depend on the price determined as set<br \/>\n                       forth above.<\/p>\n<p>                       If StorageTek provides the cost described in paragraph<br \/>\n                       6.2b(1), above, as its price, IBM&#8217;s   ** Volumes shall<br \/>\n                       be   **   Terabytes of Products and Upgrades.  If<br \/>\n                       StorageTek provides the price described in paragraph<br \/>\n                       6.2b(2), above, as its price, IBM&#8217;s   **   Volumes shall<br \/>\n                       be   ** Terabytes of Products and Upgrades.<\/p>\n<p>                 c.    Prices provided to IBM by StorageTek pursuant to<br \/>\n                       paragraph 6.2b, above, shall be based on StorageTek&#8217;s<br \/>\n                       **<\/p>\n<p>                 d.    Notwithstanding the above, if IBM fails to notify<br \/>\n                       StorageTek prior to  **   of its desire to purchase<br \/>\n                       Products for   **   1999, and if, on or before   **<br \/>\n                       IBM decides that it wishes to continue to purchase<br \/>\n                       Products   **   1999, then,   **  1999 only, IBM may<br \/>\n                       elect to purchase such Products at the price quoted<br \/>\n                       pursuant to paragraph 6.2b, above   **   by providing a<br \/>\n                       noncancelable purchase order for such units of Products<br \/>\n                       as IBM may require.<\/p>\n<p>                 e.    If IBM does not attain its    **    Volumes for any<br \/>\n                       quarter, then IBM shall pay a  **   Volume Recovery<br \/>\n                       Payment computed in accordance with Exhibit 1,<br \/>\n                       Attachment 2, Appendix D. If IBM does not attain its  **  Volumes for   **   then<br \/>\n                       StorageTek may use IBM Materials   ** to sell or<br \/>\n                       distribute Devices and Major Enhancements therefor,<br \/>\n                       subject, however, to the applicable provisions of the<br \/>\n                       Description of Licensed Works Transaction Document.<\/p>\n<p>         6.3     QUALIFIED UPGRADES<\/p>\n<p>                 **   if the total of IBM&#8217;s purchases and credits is more than<br \/>\n                 **   then the capacity of any and all Upgrades purchased<br \/>\n                 during such year as measured in Terabytes shall be credited<br \/>\n                 toward IBM&#8217;s attainment of its   **   Volumes in such year.<br \/>\n                 If the total of IBM&#8217;s purchases and credits is  **  Terabytes<br \/>\n                 or less   **   then IBM may credit a maximum of  **  Terabytes<br \/>\n                 of Upgrade purchases   **   in determining attainment of its<br \/>\n                 **   Volumes.  Such Upgrades shall be hereafter referred to as<br \/>\n                 &#8220;Qualified Upgrades.&#8221; Upgrades   **   will count toward<br \/>\n                 achievement of the   **   Volumes to the extent that the<br \/>\n                 capacity of Upgrades purchased and credited does not exceed<br \/>\n                 **   of the total capacity purchased and credited.<\/p>\n<p>         6.4     CREDITS<\/p>\n<p>                 IBM&#8217;s    **    Volumes are subject to credits based upon<br \/>\n                 StorageTek&#8217;s failure to meet agreed-to specifications relating<br \/>\n                 to quality, availability, supply, delivery, technical<br \/>\n                 milestones and other such items to the extent that such<br \/>\n                 credits are provided for elsewhere in this Agreement.  As<br \/>\n                 applied herein, credits shall be additive to any actual<br \/>\n                 purchase of Equipment by IBM.<\/p>\n<p>         6.5     LIQUIDATED DAMAGES\/  **  PAYMENTS<\/p>\n<p>                 IBM intends, through a combination of purchases of Equipment<br \/>\n                 from StorageTek and credits to volumes as provided elsewhere<br \/>\n                 in this Agreement, to achieve a minimum of   **   Terabytes<br \/>\n                 (&#8220;Minimum Volumes&#8221;) of its   **   Volumes in   **<\/p>\n<p>                 a.    If,   **   IBM has not purchased its Minimum Volumes,<br \/>\n                       then, except as otherwise provided in Sections 6.6a,<br \/>\n                       6.6b and 21, StorageTek may elect to terminate this<br \/>\n                       Agreement and receive from IBM   **   pursuant to<br \/>\n                       Sections 6.5b or 6.5c, below. StorageTek will provide IBM<br \/>\n                       with notice of such failure by   ** in which a shortfall<br \/>\n                       occurs. The Parties acknowledge and agree that the foregoing<br \/>\n                       **   amount is not a penalty but represents a good<br \/>\n                       faith estimate by the Parties of the amount of damages<br \/>\n                       incurred by StorageTek upon the occurrence of the<br \/>\n                       events set forth in Sections 6.5b through 6.5e.  The<br \/>\n                       Parties have entered into this provision after each<br \/>\n                       Party has had the opportunity to consult counsel, and<br \/>\n                       pursuant to a mutual intent to avoid the expenses of<br \/>\n                       any dispute resolution process.<\/p>\n<p>         6.6     OTHER STORAGETEK DISTRIBUTION<\/p>\n<p>                 a.    StorageTek and its Subsidiaries may, at their sole<br \/>\n                       discretion, sell, lease or otherwise distribute Devices<br \/>\n                       and products competitive with Equipment to third<br \/>\n                       parties, provided, however, that neither StorageTek nor<br \/>\n                       its Subsidiaries are   **   and, provided further, that,<br \/>\n                       except for situations as described in Section 6.7,<br \/>\n                       below, if StorageTek chooses to use, sell, lease or<br \/>\n                       otherwise distribute, either directly or indirectly:<\/p>\n<p>                       (1)    any  **  or<\/p>\n<p>                       (2)    **<\/p>\n<p>                       then, unless the sale is excepted pursuant to Section<br \/>\n                       6.8, below, IBM shall be    **   its obligations and<br \/>\n                       liabilities related to   **   as well as any obligation<br \/>\n                       to pay any   **   in the year in which the sale<br \/>\n                       occurred and thereafter. If IBM learns of facts that indicate that StorageTek is<br \/>\n                       selling, leasing or otherwise distributing the products<br \/>\n                       described in Section 6.6a, above, directly or<br \/>\n                       indirectly, to customers other than IBM, or has<br \/>\n                       licensed, transferred, sold or assigned the Licensed<br \/>\n                       Works described in Section 6.6b, above, then upon<br \/>\n                       written notice by IBM to StorageTek:<\/p>\n<p>                       (1)    StorageTek shall investigate the facts and<br \/>\n                              circumstances relating to the incident<br \/>\n                              thoroughly, and share the results, but not the<br \/>\n                              customer-specific details, with IBM.  If both<br \/>\n                              Parties agree that no such sale, lease or other<br \/>\n                              distribution occurred or no such license was<br \/>\n                              granted, then the rights and obligations of the<br \/>\n                              Parties shall not change.  If the Parties are<br \/>\n                              unable to agree on the facts relating to such<br \/>\n                              incident, then the matter will be handled<br \/>\n                              pursuant to the dispute resolution process<br \/>\n                              described in Section 22.<\/p>\n<p>                       (2)    if StorageTek or its Subsidiaries has made a<br \/>\n                              sale, lease or other distribution to third<br \/>\n                              parties, as described in Section 6.6a, above, or<br \/>\n                              has licensed, transferred, sold or assigned the<br \/>\n                              Licensed Works to a third party, as described in<br \/>\n                              Section 6.6b, above, other than IBM, then IBM&#8217;s<br \/>\n                              obligations shall be modified as set forth in<br \/>\n                              such sections.<\/p>\n<p>         6.7     EXCEPTIONS<\/p>\n<p>                 a.    Sales, leases, or other distribution or use of Devices<br \/>\n                       by StorageTek or its Subsidiaries in the following<br \/>\n                       situations are excepted from the provisions of Section<br \/>\n                       6.6, and will be credited toward calculation of IBM&#8217;s<br \/>\n                       purchase volume for the purpose of determining whether<br \/>\n                       IBM has achieved its **  Volumes:<\/p>\n<p>                       (1)    Sales, leases or other distribution of  **  .<br \/>\n                              For the purpose of determining the  ** which<br \/>\n                              shall be credited to IBM&#8217;s  **   Volumes,  **<\/p>\n<p>                       (2)    Sales of Devices by StorageTek or its<br \/>\n                              Subsidiaries  **<\/p>\n<p>                              (a)    **<\/p>\n<p>                              (b)    **<\/p>\n<p>                              and further provided that, in the case of (a) or<br \/>\n                              (b), shipments made prior to  **   will not be<br \/>\n                              credited to IBM&#8217;s  **   Volumes; and<\/p>\n<p>                       (3)    **<\/p>\n<p>&#8211; &#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<\/p>\n<p>**     Confidential portions omitted and filed separately with the Securities<br \/>\n       and Exchange Commission under an application for confidential treatment.<\/p>\n<p>                                       15<br \/>\n   23<br \/>\n                 b.    Uses, sales, leases or other distribution of Equipment<br \/>\n                       or Devices by StorageTek or its Subsidiaries in the<br \/>\n                       following situations are excepted from the provisions of<br \/>\n                       Section 6.6a, **<\/p>\n<p>                       (1)    Sales or leases by StorageTek or it Subsidiaries<br \/>\n                              of Equipment that  **<\/p>\n<p>                       (2)    Use of Equipment or Devices internally by<br \/>\n                              StorageTek or its Subsidiaries  **<\/p>\n<p>                       (3)    Use of Equipment or Devices internally by<br \/>\n                              StorageTek  **<\/p>\n<p>                       (4)    Sales or leases of used Equipment, Devices or<br \/>\n                              Count Key Data Systems  **<\/p>\n<p>                       (5)    Sales or use of FRUs for maintenance purposes<br \/>\n                              only.  However, nothing in this clause 6.7b(5)<br \/>\n                              shall be interpreted as granting StorageTek an<br \/>\n                              implied license to distribute FRUs that are or<br \/>\n                              contain IBM Materials or other IBM Code not<br \/>\n                              licensed under this Agreement.<\/p>\n<p>                       (6)    Sales or leases of Arctic Fox and Arctic Fox<br \/>\n                              Upgrades,  **<\/p>\n<p>                       (7)    Sales of Non-RMM Devices,  **<\/p>\n<p>                       (8)    Use of Count Key Data Systems that are not<br \/>\n                              Equipment or Devices by StorageTek or its<br \/>\n                              Subsidiaries.<\/p>\n<p>         6.8     ADDITIONAL STORAGETEK SALES<\/p>\n<p>                 In the event that StorageTek or its Subsidiaries makes sales<br \/>\n                 which are not within the scope of the sales enumerated in<br \/>\n                 Section 6.7, above, IBM shall nevertheless continue its<br \/>\n                 obligations for future  **  and  **   if the total units of<br \/>\n                 Product, Upgrades, Count Key Data Systems and Devices sold by<br \/>\n                 StorageTek and its Subsidiaries, and not included under Section<br \/>\n                 6.7, above, in any consecutive  **  period, does not exceed  **<br \/>\n                 units; provided that under no circumstances shall any units of<br \/>\n                 Product, Upgrades, Count Key Data Systems and Devices sold by<br \/>\n                 StorageTek and its Subsidiaries pursuant to this Section 6.8,<br \/>\n                 include   **   . IBM will receive credit against the attainment<br \/>\n                 of its  **  Volumes in an amount equal to two times the amount<br \/>\n                 of Terabytes sold pursuant to this Section 6.8. PRICING &amp; PAYMENT TERMS<\/p>\n<p>         7.1     Prices charged to IBM by StorageTek for Products sold<br \/>\n                 hereunder in 1996, 1997 and 1998 shall be as set forth in<br \/>\n                 Attachment 1 to Exhibit 1 to this Agreement.  These prices<br \/>\n                 include necessary cables, software, packaging, packing and<br \/>\n                 shipping materials and such other items (excluding manuals) as<br \/>\n                 StorageTek currently includes in its Product shipments.<br \/>\n                 Manuals normally included with Product shall also be included<br \/>\n                 through September 31, 1996.  Prior to such date the Parties<br \/>\n                 will meet to discuss methods by which StorageTek could assist<br \/>\n                 in preparing or having such manuals prepared at IBM&#8217;s expense.<\/p>\n<p>         7.2     Prices charged to IBM for Upgrades shall be as set forth in<br \/>\n                 Attachment 3 to Exhibit 1 to this Agreement.<\/p>\n<p>         7.3     In the case of Products or Upgrades manufactured by StorageTek<br \/>\n                 in Europe, an additional charge equivalent to  **  will be<br \/>\n                 added by mutual agreement to the prices set forth in<br \/>\n                 Attachments 1 and 3 to Exhibit 1, which charge initially shall<br \/>\n                 be  **   .<\/p>\n<p>         7.4     Prices charged for Products in 1999 shall be as set forth in<br \/>\n                 Section 6.2.<\/p>\n<p>         7.5     **   PRICE<\/p>\n<p>                 Notwithstanding any other provisions in this Agreement, in no<br \/>\n                 event will any price charged by StorageTek to IBM exceed  **<br \/>\n                 Prices, as defined below:<\/p>\n<p>                 a.    **<\/p>\n<p>                 b.    **<\/p>\n<p>                 c.    **<\/p>\n<p>         7.6     RECOVERY PAYMENTS<\/p>\n<p>                 a.    If IBM fails to purchase volumes from StorageTek equal<br \/>\n                       to its  **   Volumes  **   IBM will pay to StorageTek a<br \/>\n                       sum referred to herein as a Recovery Payment.  This<br \/>\n                       amount shall be calculated,  ** .  The amount of such<br \/>\n                       Recovery Payments shall be calculated at least  **   and<br \/>\n                       shall be based on **   (hereinafter &#8221;  **   Volumes&#8221;).<br \/>\n                       If the parties cannot agree on such  **   Volumes, then<br \/>\n                       they shall resolve the dispute pursuant to Section 22.<br \/>\n                       No later than the last day of such quarter, IBM will pay<br \/>\n                       to StorageTek or StorageTek will pay to IBM the<br \/>\n                       estimated net sum of any Recovery Payment due to the<br \/>\n                       other Party. Notwithstanding anything to the contrary in this Section<br \/>\n                       7.6, in the event that StorageTek terminates this<br \/>\n                       Agreement based on IBM&#8217;s failure to purchase its  **<br \/>\n                       Volumes or if IBM terminates this Agreement for<br \/>\n                       convenience, then  **<\/p>\n<p>         7.7     FRU PRICES<\/p>\n<p>                 Prices charged by StorageTek to IBM for new FRUs will be  **<br \/>\n                 of such FRUs and the multiples set forth in Section 7.7a,<br \/>\n                 below.  For the purpose of this section and Section 15.4, cost<br \/>\n                 shall be determined by using  **  . The standard cost will be<br \/>\n                 reviewed  **   and any differences in cost will be adjusted in<br \/>\n                 the following period.  Compliance with this section shall be<br \/>\n                 subject to IBM&#8217;s Audit Rights.<\/p>\n<p>                 a. Prices for FRUs returned by IBM will be<br \/>\n                       determined in accordance with Section 15.4.<\/p>\n<p>&#8211; &#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<\/p>\n<p>**     Confidential portions omitted and filed separately with the Securities<br \/>\n       and Exchange Commission under an application for confidential treatment.<\/p>\n<p>                                       18<br \/>\n   26<br \/>\n         7.8     LOWEST COST SOURCING.<\/p>\n<p>                 The Parties agree that it is in their mutual interest for<br \/>\n                 StorageTek to obtain parts for new production and maintenance<br \/>\n                 purposes at the lowest practicable cost. If IBM identifies a<br \/>\n                 potential alternative source for any part, StorageTek will<br \/>\n                 make a good faith reasonable effort to qualify the<br \/>\n                 alternative.  If such bid is comparable with the quality,<br \/>\n                 terms and conditions and offers a better price compared to the<br \/>\n                 then current source of such parts, and awarding such<br \/>\n                 alternative source a supply contract pursuant to such bid does<br \/>\n                 not adversely impact the terms of StorageTek&#8217;s purchases of<br \/>\n                 other parts from the then current source, then the lower cost<br \/>\n                 will be used in determining prices to IBM for Equipment<br \/>\n                 whether or not StorageTek actually obtains the part or parts<br \/>\n                 from such alternative source.<\/p>\n<p>         7.9     TAXES\/DUTIES<\/p>\n<p>                 The prices for Equipment supplied under this Agreement are<br \/>\n                 exclusive of any customs charges and duties and sales, use,<br \/>\n                 privilege, excise and similar taxes levied by the USA, foreign<br \/>\n                 territories, or any other governmental entity on the Products,<br \/>\n                 their export, import, shipment, purchase or sale.  IBM shall<br \/>\n                 pay and be responsible for the payment of any such taxes<br \/>\n                 (excluding taxes based upon StorageTek&#8217;s net income) or<br \/>\n                 duties; and, to the extent legally required, StorageTek shall<br \/>\n                 collect any applicable taxes unless IBM establishes its<br \/>\n                 exemption therefrom.  If StorageTek is required to pay any<br \/>\n                 such taxes or duties, IBM will reimburse StorageTek pursuant<br \/>\n                 to StorageTek&#8217;s invoice.<\/p>\n<p>                 IBM hereby represents to StorageTek that it is purchasing the<br \/>\n                 Products hereunder for the purpose of resale, rent, lease or<br \/>\n                 in-house use, and, if required by applicable law, IBM will<br \/>\n                 furnish StorageTek with pertinent and valid sales and use tax<br \/>\n                 exemption certificates.<\/p>\n<p>         7.10    PAYMENT TERMS<\/p>\n<p>                 a.    StorageTek will invoice IBM for Equipment on or after<br \/>\n                       the date on which such Equipment is Delivered.  If any<br \/>\n                       unit of Equipment is Delivered and is not suitable to be<br \/>\n                       installed, then the Equipment shall not be considered as<br \/>\n                       Delivered until such time that such Equipment is<br \/>\n                       rendered suitable for installation.  IBM or its designee<br \/>\n                       will exercise reasonable efforts to install Equipment<br \/>\n                       that it receives. Payment of an invoice by IBM under IBM purchase order(s)<br \/>\n                       will not be construed as and will not constitute an<br \/>\n                       acceptance of Product failing to conform to<br \/>\n                       specifications or agreed upon quality levels, nor will<br \/>\n                       any payment to StorageTek be construed as or constitute<br \/>\n                       a waiver of any of IBM&#8217;s legal rights or remedies.<\/p>\n<p>                 d.    StorageTek will invoice, and IBM will pay, in US Dollars<br \/>\n                       to the address listed on StorageTek&#8217;s invoice.  All<br \/>\n                       payments will be made by wire transfer of immediately<br \/>\n                       available funds.<\/p>\n<p>         7.11    SNAPSHOT FEATURE<\/p>\n<p>                 IBM will license the Snapshot Feature as set forth in the<br \/>\n                 Description of Licensed Works for the license fees set forth<br \/>\n                 in Attachment 3 to Exhibit 1 hereto.<\/p>\n<p>8.       IBM SALES TO STORAGETEK<\/p>\n<p>         8.1     StorageTek, in its sole discretion, may acquire Equipment from<br \/>\n                  IBM  **  .  The prices for the first  ** units of Products<br \/>\n                  will be ** .  The prices for all other units of Products will<br \/>\n                  not exceed  ** .  The<br \/>\n                 prices for Upgrades will not exceed  ** .  Such Equipment may<br \/>\n                 be sold by StorageTek  **  .  Sales by IBM to StorageTek will<br \/>\n                 be pursuant to  **   with a one (1) day transit period, except<br \/>\n                 that all Equipment supplied pursuant to this section by IBM to<br \/>\n                 StorageTek shall be provided  **  .  Moreover, StorageTek<br \/>\n                 shall not be subject to  **  for such units.<\/p>\n<p>         8.2     IBM agrees to sell StorageTek the Upgrades it reasonably<br \/>\n                 requires to meet the ongoing remarketing obligations<br \/>\n                 StorageTek has as of the  **   with respect to  ** . The<br \/>\n                 prices for Upgrades  **  which IBM will charge Storagetek<br \/>\n                 shall be commercially reasonable and not exceed  **  of IBM&#8217;s<br \/>\n                 average selling price  **   but under no circumstance shall<br \/>\n                 such prices be any less than  **  of the price charged to IBM<br \/>\n                 by StorageTek per MB of Product as set forth in Section 7.<br \/>\n                 Any such Upgrades, when<\/p>\n<p>&#8211; &#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<\/p>\n<p>**     Confidential portions omitted and filed separately with the Securities<br \/>\n       and Exchange Commission under an application for confidential treatment.<\/p>\n<p>                                       20<br \/>\n   28<br \/>\n                 purchased by IBM from StorageTek, will be counted as IBM&#8217;s<br \/>\n                 volumes in calculating IBM&#8217;s attainment of its   **  , and<br \/>\n                 will not be subject to the limitations of Section 6.3, and<br \/>\n                 will be counted in addition to the Qualified Upgrades.<\/p>\n<p>9.       QUALITY<\/p>\n<p>         9.1     MANUFACTURING TESTING<\/p>\n<p>                 Prior to Delivery, StorageTek shall conduct a mutually<br \/>\n                 agreed-upon preshipment manufacturing test at its plant on<br \/>\n                 each unit of Equipment.  Notwithstanding such preshipment<br \/>\n                 manufacturing testing, all Equipment must conform to the<br \/>\n                 Specifications.  StorageTek will provide IBM on a quarterly<br \/>\n                 basis with a complete, summarized record of inspection and<br \/>\n                 tests performed on each unit of Equipment during the term of<br \/>\n                 the Agreement.  Detailed records of inspection and tests (in<br \/>\n                 manual and electronic form) performed for each unit of<br \/>\n                 Equipment shall also be kept by StorageTek for three (3)<br \/>\n                 years.  Upon IBM&#8217;s request, StorageTek will provide IBM with<br \/>\n                 access to an electronic copy of the specific test results for<br \/>\n                 each unit of Equipment within two (2) business days after<br \/>\n                 receipt of such request.<\/p>\n<p>                 IBM&#8217;s representative may, if it so requests and at its sole<br \/>\n                 expense, witness the preshipment tests carried out by<br \/>\n                 StorageTek, provided such request is made at least three (3)<br \/>\n                 days prior to the scheduled Delivery of the items being<br \/>\n                 tested.  Any such observation by IBM shall be subject to<br \/>\n                 StorageTek&#8217;s reasonable safety and security rules and shall be<br \/>\n                 conducted to the extent feasible on a noninterference basis.<\/p>\n<p>                 IBM may also conduct its own testing to the extent feasible on<br \/>\n                 a non- interference basis either at StorageTek&#8217;s plant, its<br \/>\n                 own facilities or IBM&#8217;s customers&#8217; facilities, at IBM&#8217;s own<br \/>\n                 expense, to confirm that the Equipment meets the<br \/>\n                 Specifications.  Any testing performed at StorageTek&#8217;s plant<br \/>\n                 shall be subject to StorageTek&#8217;s reasonable safety and<br \/>\n                 security rules.<\/p>\n<p>         9.2     ENGINEERING CHANGES<\/p>\n<p>                 a.    Mandatory Engineering Changes.  If changes that may<br \/>\n                       affect the form, fit, function, interface, reliability<br \/>\n                       or serviceability of the Equipment (including<br \/>\n                       interchangeability with previously purchased FRUs) are<br \/>\n                       required in order to make the Equipment sold hereunder<br \/>\n                       conform to the Specifications (&#8220;Mandatory Engineering<br \/>\n                       Changes&#8221;), StorageTek shall first obtain IBM&#8217;s approval.<br \/>\n                       If it is mutually agreed that the change is to be made,<br \/>\n                       StorageTek shall make the changes at no charge to IBM in<br \/>\n                       all units of Equipment which are not yet delivered to<br \/>\n                       IBM.  If such changes are required to make delivered<br \/>\n                       units of Equipment conform to those Specifications, they<br \/>\n                       shall be supplied in the form of mandatory field change<br \/>\n                       kits at no charge to IBM in accordance with the<br \/>\n                       procedure set forth below.<\/p>\n<p>                                       21<br \/>\n   29<br \/>\n                       IBM shall supply labor to install, subject to Section<br \/>\n                       9.3h,  all Mandatory Engineering Changes in delivered<br \/>\n                       units of Equipment.<\/p>\n<p>                       Field change kits resulting from Mandatory Engineering<br \/>\n                       Changes described above will be administered as follows:<\/p>\n<p>                       (1)    StorageTek will promptly send an engineering<br \/>\n                              change notice (ECN) to IBM prior to Delivery of<br \/>\n                              the first shipment of Equipment that contains a<br \/>\n                              Mandatory Engineering Change.  IBM shall issue a<br \/>\n                              no-charge purchase order for all mandatory field<br \/>\n                              change kits that IBM desires.  Such kits and any<br \/>\n                              Equipment returned which are covered by the<br \/>\n                              Mandatory ECNs shall be shipped freight prepaid<br \/>\n                              by StorageTek, at no charge to IBM.<\/p>\n<p>                       (2)    StorageTek will ship the mandatory field change<br \/>\n                              kits according to the schedule that is set forth<br \/>\n                              in clause (4), below, and issue a no-charge<br \/>\n                              invoice to IBM for all parts ordered and shipped<br \/>\n                              as a part of the mandatory field change kits.<\/p>\n<p>                       (3)    Subject to the terms of Section 15.3, IBM will<br \/>\n                              use reasonable efforts to see that repairable<br \/>\n                              parts (displaced by field change kits) from<br \/>\n                              Equipment are packaged separately from other<br \/>\n                              parts returned.  IBM will send Products to<br \/>\n                              StorageTek, freight prepaid, and Upgrades and<br \/>\n                              FRUs, freight collect.<\/p>\n<p>                       (4)    For each Mandatory Engineering Change the parties<br \/>\n                              will agree upon an appropriate round- robin<br \/>\n                              process for distributing field change kits to the<br \/>\n                              field and securing the return of displaced FRUs<br \/>\n                              for rework by StorageTek.<\/p>\n<p>                 b.    Emergency Engineering Changes.  Notwithstanding Section<br \/>\n                       9.2a, above, StorageTek may issue any engineering change<br \/>\n                       necessary to remedy an Equipment-down situation at a<br \/>\n                       customer of IBM or to make any unit of the Equipment<br \/>\n                       safe (an &#8220;Emergency Engineering Change&#8221;) upon notice to<br \/>\n                       IBM but without any prior evaluation or approval by IBM;<br \/>\n                       provided, however, that StorageTek agrees to follow the<br \/>\n                       procedures as set forth in Section 9.2a in order to<br \/>\n                       implement a permanent solution to resolve the safety or<br \/>\n                       down situation that arose precipitating the need for the<br \/>\n                       engineering change.<\/p>\n<p>                       As to any affected Equipment from time to time in IBM&#8217;s<br \/>\n                       inventory or control, or already accepted by IBM, IBM<br \/>\n                       shall use reasonable efforts to promptly accomplish the<br \/>\n                       installation of such Emergency Engineering Change.  In<br \/>\n                       the event of installation of Emergency Engineering<br \/>\n                       Changes by IBM hereunder, StorageTek shall implement a<br \/>\n                       corrective action plan, including the provision of<br \/>\n                       information, materials, tools and parts necessary to<br \/>\n                       effect the installation of such Emergency Engineering<br \/>\n                       Changes on the affected Equipment (all without cost to<br \/>\n                       IBM), subject to Section 9.3h.<\/p>\n<p>                                       22<br \/>\n   30<br \/>\n                 c.    Optional Engineering Changes.  In addition to Mandatory<br \/>\n                       Engineering Changes, it is recognized by the Parties<br \/>\n                       that there may be optional changes requested by either<br \/>\n                       IBM or StorageTek, which are not required to make the<br \/>\n                       units of Equipment conform to the Specifications.  The<br \/>\n                       cost of implementing such changes (including kits and<br \/>\n                       labor) on delivered Equipment shall be divided between<br \/>\n                       the parties as they mutually agree.  StorageTek will<br \/>\n                       deliver field change kits for such changes to IBM, as<br \/>\n                       specified in IBM&#8217;s purchase order, which purchase order<br \/>\n                       shall be given by IBM to StorageTek within such time<br \/>\n                       period as the Parties shall mutually agree.<\/p>\n<p>                 d.    Procedures Regarding Proposed Engineering Changes.  In<br \/>\n                       connection with any engineering changes proposed<br \/>\n                       pursuant to Section 9.2a, above, StorageTek will forward<br \/>\n                       to IBM, at IBM&#8217;s request, a minimum of two (2) samples<br \/>\n                       of each such proposed engineering change, as well as the<br \/>\n                       details of any proposed change, to enable IBM to<br \/>\n                       determine whether to approve such change, including:<\/p>\n<p>                       (1)    the effect of the change on the form, fit,<br \/>\n                              function, interface, reliability or<br \/>\n                              serviceability of the Equipment;<\/p>\n<p>                       (2)    StorageTek&#8217;s reference number for the proposed<br \/>\n                              change;<\/p>\n<p>                       (3)    StorageTek&#8217;s  identification of the item to be<br \/>\n                              changed and whether any items should be returned;<\/p>\n<p>                       (4)    description of and reason for the change with<br \/>\n                              sufficient engineering detail and applicable<br \/>\n                              validation data, as endorsed by StorageTek&#8217;s<br \/>\n                              quality control process, to enable the proposal<br \/>\n                              to be assessed;<\/p>\n<p>                       (5)    the date and, if available at the time,<br \/>\n                              StorageTek&#8217;s serial number from which StorageTek<br \/>\n                              proposes to implement the change;<\/p>\n<p>                       (6)    whether retroactive action is proposed and, if<br \/>\n                              so, the details of any necessary field action and<br \/>\n                              the initial availability of FRUs (on Engineering<br \/>\n                              Changes, StorageTek will advise IBM about the<br \/>\n                              effect on (a) outstanding orders for Equipment;<br \/>\n                              (b) units of Equipment which are at the time of<br \/>\n                              such proposed change in for repair or<br \/>\n                              replacement; and (c) the next batch of units of<br \/>\n                              Equipment to be delivered from StorageTek&#8217;s plant<br \/>\n                              on which the Engineering Change should be<br \/>\n                              implemented);<\/p>\n<p>                       (7)    intended alterations to FRUs, documentation,<br \/>\n                              tools and other relevant material supplied or to<br \/>\n                              be supplied to IBM; and<\/p>\n<p>                       (8)    whether any parts will become obsolete as a<br \/>\n                              result of the change.<\/p>\n<p>                                       23<br \/>\n   31<br \/>\n                       Except for any Emergency Engineering Changes, StorageTek<br \/>\n                       is required to obtain IBM&#8217;s prior written approval for<br \/>\n                       each Engineering Change before StorageTek&#8217;s<br \/>\n                       implementation of the same.<\/p>\n<p>                 e.    Revalidation.  Upon implementation of each engineering<br \/>\n                       change, StorageTek agrees to perform revalidation<br \/>\n                       testing at no charge to IBM to ensure that the Equipment<br \/>\n                       so changed meets the Specifications.<\/p>\n<p>                 f.    Obsolete Upgrades and FRUs.  If StorageTek makes any<br \/>\n                       Mandatory, Emergency or StorageTek-initiated Engineering<br \/>\n                       Change which renders any Upgrades and FRUs obsolete<br \/>\n                       (i.e., unusable), StorageTek shall replace the obsolete<br \/>\n                       Upgrades and FRUs at no charge to IBM in accordance with<br \/>\n                       the procedures set forth in Section 9.2a, above.   No<br \/>\n                       returns are authorized for field change kits that are<br \/>\n                       requested as a result of an optional IBM- initiated<br \/>\n                       engineering change which renders any Upgrade or FRU<br \/>\n                       obsolete.<\/p>\n<p>         9.3     QUALITY LEVELS<\/p>\n<p>                       a.     RAS Criteria. These measurements will be calculated<br \/>\n                       separately for Products and Upgrades.  This rate assumes<br \/>\n                       that an average IBM-customer subsystem installation is<br \/>\n                       comprised of an Iceberg subsystem, or a Kodiak control<br \/>\n                       unit and one connecting storage cabinet.  If the average<br \/>\n                       IBM-customer installation for the Kodiak Product<br \/>\n                       involves more than one connecting storage cabinet, then<br \/>\n                       the  **  rate for Kodiak will be reduced by  **  for<br \/>\n                       each connecting storage cabinet in calculating such<br \/>\n                       average.<\/p>\n<p>                 c.    Levels for Future Functions.  Features or functions<br \/>\n                       added after the initial shipment in volume of Iceberg<br \/>\n                       and Kodiak will be measured against specific<br \/>\n                       reliability, availability and service criteria that is<br \/>\n                       to be documented and addressed in each applicable<br \/>\n                       product development plan and related specification for<br \/>\n                       the future feature or function, but in any event they<br \/>\n                       must meet the Iceberg and Kodiak criterion as specified<br \/>\n                       herein.<\/p>\n<p>                 d.    Guardband.  StorageTek shall not be considered to be<br \/>\n                       failing to meet the criterion unless the percentage by<br \/>\n                       which IBM&#8217;s actual measurements exceeds the criterion is<br \/>\n                       at least higher than the Guardband percentage set forth<br \/>\n                       above in Section 9.3a for Service Calls or Impact<br \/>\n                       Errors.<\/p>\n<p>                 e.    Action Plan.  If StorageTek fails to meet the Service<br \/>\n                       Call Rate, Impact Error Rate, or Error Free Installation<br \/>\n                       Rate, then StorageTek shall promptly investigate the<br \/>\n                       cause of the failures, and generate and provide to IBM<br \/>\n                       within ten (10) days a root cause failure analysis that<br \/>\n                       describes the cause of the failures. StorageTek&#8217;s plan may include,<br \/>\n                       but is not limited to increased repair capacity (i.e.,<br \/>\n                       labor, equipment, facilities); expedited freight; and<br \/>\n                       providing new, repaired and\/or upgraded buffer stock to<br \/>\n                       IBM&#8217;s stocking locations, distributors and customer<br \/>\n                       sites.<\/p>\n<p>                 f.    Price Reduction for FRU Costs.  StorageTek shall provide<br \/>\n                       a price reduction to IBM  **  after the date of last<br \/>\n                       Delivery of each type of Products in an amount that is<br \/>\n                       equal to  **  (&#8220;Excess FRU Cost&#8221;).  The calculation of<br \/>\n                       this price reduction shall specifically exclude  ** .<br \/>\n                       The price reduction provided hereunder may  **  .   Any<br \/>\n                       claim to such price reduction will be deemed waived if<br \/>\n                       not made by IBM no later than  **   days after the  **<br \/>\n                       in which such Excess FRU Cost occurred.<\/p>\n<p>                 g.    Reporting of FRU Consumption.  IBM will provide a<br \/>\n                       quarterly report to StorageTek that summarizes<br \/>\n                       IBM-reported fault symptom information for the<br \/>\n                       consumption of FRUs in repair actions that are<br \/>\n                       undertaken by IBM in the United States.  The summarized<br \/>\n                       information in this report will be adjusted by IBM to<br \/>\n                       exclude those items which qualify as Cost Exclusions.<br \/>\n                       This information is considered to be IBM confidential,<br \/>\n                       and StorageTek agrees to keep such information<br \/>\n                       confidential under the terms of the Agreement for<br \/>\n                       Exchange of Confidential Information between the<br \/>\n                       Parties.<\/p>\n<p>                 h.    Credit for Labor Costs.  The target for labor required<br \/>\n                       for repair actions  (including  **  during a Machine<br \/>\n                       Month.  StorageTek shall provide a credit to IBM  **<br \/>\n                       after the date of last Delivery of Product, upon<br \/>\n                       StorageTek&#8217;s receipt of appropriate supporting<br \/>\n                       documentation, for average labor costs per Machine Month<br \/>\n                       incurred by IBM in connection with repair actions that<br \/>\n                       are in excess of **  of that  **  target (&#8220;Excess Labor<br \/>\n                       Cost&#8221;). If<br \/>\n                       StorageTek fails to meet the established RAS criteria<\/p>\n<p>&#8211; &#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<\/p>\n<p>**     Confidential portions omitted and filed separately with the Securities<br \/>\n       and Exchange Commission under an application for confidential treatment.<\/p>\n<p>                                       27<br \/>\n   35<br \/>\n                       for Service Calls or Impact Error rates set forth in<br \/>\n                       Section 9.3a for Iceberg and Kodiak in any calendar<br \/>\n                       quarter (after taking into consideration the applicable<br \/>\n                       Guardbands), then StorageTek shall be given until the<br \/>\n                       end of the next succeeding quarter to implement the<br \/>\n                       action plan described in Section 9.3e, above.<\/p>\n<p>                       If the RAS criteria is missed again during such next<br \/>\n                       quarter, then  **<\/p>\n<p>                        **<\/p>\n<p>         9.4     QUALITY ASSURANCE<\/p>\n<p>                 StorageTek shall maintain at its sole cost and expense an<br \/>\n                 effective quality control system to maintain under continuous<br \/>\n                 control the entire process of design, manufacture and FRU<br \/>\n                 repairs, including the packaging and shipping of Equipment.<br \/>\n                 This system shall include checks to verify that all<br \/>\n                 requirements of the Specifications are satisfied.<\/p>\n<p>                 StorageTek is responsible to insure that workmanship,<br \/>\n                 construction and other standards specified by this system<br \/>\n                 satisfy the requirements of the Specifications.  StorageTek&#8217;s<br \/>\n                 quality assurance shall be applied in a manner that will<br \/>\n                 maintain a consistent level of quality.  StorageTek&#8217;s quality<br \/>\n                 control procedures and instructions shall be made available to<br \/>\n                 StorageTek&#8217;s employees, agents, contractors and<br \/>\n                 subcontractors, and to IBM, at the place of manufacture.<\/p>\n<p>                 Upon request, IBM may conduct inspections on a<br \/>\n                 non-interference basis at StorageTek&#8217;s manufacturing and<br \/>\n                 repair plants at any time during normal working hours provided<br \/>\n                 that, within 24 hours if an emergency situation exists or at<br \/>\n                 least three (3) days under non-emergency situations, prior<br \/>\n                 written notice is given by IBM.  StorageTek will use<br \/>\n                 reasonable efforts to accommodate visits on shorter notice.<br \/>\n                 Such inspection may, at IBM&#8217;s option, include the witnessing<br \/>\n                 of tests and inspection of Equipment, whether completed or<br \/>\n                 not.  StorageTek will promptly take appropriate corrective<br \/>\n                 action with regard to any deficiencies found by IBM and<br \/>\n                 reasonably agreed to by StorageTek.<\/p>\n<p>         9.5     ISO 9000 CERTIFICATION AND USE OF SUBCONTRACTORS<\/p>\n<p>                 StorageTek shall maintain ISO 9000 certification, and use<br \/>\n                 statistical process control systems to monitor quality, for<br \/>\n                 its manufacturing and development processes for Equipment<br \/>\n                 supplied to IBM during the term of the Agreement.<\/p>\n<p>                 StorageTek shall ensure that its subcontractors that are<br \/>\n                 involved with the manufacturing and development of Equipment<br \/>\n                 shall maintain ISO 9000 certification,<\/p>\n<p>__________________________________<\/p>\n<p>**     Confidential portions omitted and filed separately with the Securities<br \/>\n       and Exchange Commission under an application for confidential treatment.<\/p>\n<p>                                       28<br \/>\n   36<br \/>\n                 and use similar statistical process control systems to monitor<br \/>\n                 quality.  StorageTek shall also ensure that its suppliers who<br \/>\n                 provide parts, assemblies or subassemblies that are used in the<br \/>\n                 manufacturing and development of Equipment shall maintain ISO<br \/>\n                 9000 certification or use reasonable process control systems to<br \/>\n                 monitor quality.<\/p>\n<p>                 It is the sole responsibility of StorageTek to select and<br \/>\n                 manage its suppliers.  StorageTek will make available to IBM,<br \/>\n                 upon request, a list of all suppliers that are used to supply<br \/>\n                 parts or components in StorageTek&#8217;s manufacturing process for<br \/>\n                 Equipment.  StorageTek agrees to use its best efforts to<br \/>\n                 notify IBM of any additions or changes made in its suppliers.<br \/>\n                 If IBM reasonably determines that there is a supplier that may<br \/>\n                 be of concern to it, then StorageTek shall develop and<br \/>\n                 implement a mutually agreeable plan to address IBM&#8217;s concerns.<\/p>\n<p>                 StorageTek shall provide, upon written request by IBM, all<br \/>\n                 information pertaining to the measurements of quality that are<br \/>\n                 made for Equipment, and generated or derived from StorageTek&#8217;s<br \/>\n                 statistical process control systems.<\/p>\n<p>                 StorageTek is solely responsible for the quality of Equipment<br \/>\n                 supplied to IBM.  Review and approval by IBM of StorageTek&#8217;s<br \/>\n                 or any of its subcontractor&#8217;s quality process systems does not<br \/>\n                 relieve StorageTek of this responsibility.<\/p>\n<p>                 StorageTek agrees to notify IBM of any planned significant<br \/>\n                 changes that may adversely affect its manufacturing processes<br \/>\n                 or could adversely affect the form, fit, function, quality,<br \/>\n                 reliability, serviceability or safety of the Equipment to be<br \/>\n                 supplied to IBM no later than ninety (90) days before planned<br \/>\n                 implementation.<\/p>\n<p>10.  PRODUCT LEAD TIMES AND FORECAST<\/p>\n<p>          10.1   IBM will provide a monthly build forecast to StorageTek for a<br \/>\n                 **  period (or a period equal to the remaining term of this<br \/>\n                 Agreement if less than  **  ).  The current quarter forecast<br \/>\n                 will be broken down by week and by Delivery location.<br \/>\n                 Volumes, specified in units of Product and Upgrades by<br \/>\n                 Delivery location,  for the quarter following the then-current<br \/>\n                 quarter will be established and provided to StorageTek no<br \/>\n                 later than  **  prior to the start of any given quarter.  At<br \/>\n                 such time, the forecast for the upcoming quarter will be<br \/>\n                 binding, subject to the quarterly volume modifications<br \/>\n                 referred to in Sections 10.2 and 10.3. However,<br \/>\n                       if StorageTek is unable to meet its Delivery commitments<br \/>\n                       and must allocate its capacity, inventory, test<br \/>\n                       equipment, resources, use of personnel, parts,<br \/>\n                       components, supplier resources and capabilities, etc.,<br \/>\n                       that are used to produce Equipment, then StorageTek<br \/>\n                       agrees to:<\/p>\n<p>                       (1)    act in good faith; and<\/p>\n<p>                       (2)    allocate its capacity, supplier resources and<br \/>\n                              capabilities, inventory, test equipment,<br \/>\n                              resources, use of personnel, parts, components,<br \/>\n                              and available supply of Equipment to fill orders<br \/>\n                              for IBM in the following order of priorities:<\/p>\n<p>                               (i)  **  ; and<\/p>\n<p>                              (ii)  **<\/p>\n<p>                 b.    StorageTek will allocate parts, components and materials<br \/>\n                       in accordance with the following priorities:<\/p>\n<p>                       (1)    Code A FRUs order\/requirements are filled first;<br \/>\n                              and<\/p>\n<p>                       (2)    then a fair allocation between manufacturing<br \/>\n                              orders and nonemergency maintenance parts<br \/>\n                              order\/requirements.<\/p>\n<p>         11.     PURCHASE ORDERS, ALTERATIONS &amp; RESCHEDULING<\/p>\n<p>         11.1    IBM may submit purchase orders at any time; provided, however,<br \/>\n                 that subject to Section 11.6, any order shall be binding on<br \/>\n                 both Parties if such order is within the forecast range set<br \/>\n                 forth in Sections 10.2 and 10.3, and is submitted not less<br \/>\n                 than ten (10) business days before IBM&#8217;s requested date of<br \/>\n                 Delivery.  IBM may request that StorageTek deliver in fewer<br \/>\n                 than ten (10) business days and StorageTek may agree to do so.<\/p>\n<p>         11.2    This Agreement does not constitute a purchase order.  IBM may<br \/>\n                 issue purchase orders from time to time during the term of<br \/>\n                 this Agreement in either electronic (EDI) or written form.<br \/>\n                 Authorization to StorageTek to perform any work or produce any<br \/>\n                 Equipment under this Agreement will be through IBM purchase<br \/>\n                 orders only. Purchase orders will be considered noncancelable<br \/>\n                 within ten (10) days of the scheduled Delivery date.<\/p>\n<p>         11.3    IBM shall submit its purchase orders to StorageTek at the<br \/>\n                 address set forth in the Notices section of this Agreement.<br \/>\n                 IBM&#8217;s purchase orders will include:<\/p>\n<p>                 a.    IBM&#8217;s part, model or feature numbers, configuration and<br \/>\n                       description of Equipment;<\/p>\n<p>                 b.    quantity required;<\/p>\n<p>                 c.    unit or item price and total order price;<\/p>\n<p>                 d.    required delivery date(s);<\/p>\n<p>                 e.    delivery instructions (including a carrier who will<br \/>\n                       accept delivery at StorageTek&#8217;s address); and<\/p>\n<p>                 f.    reference to this Agreement.<\/p>\n<p>                 Unless otherwise specifically agreed to in writing, additional<br \/>\n                 terms and conditions on IBM&#8217;s purchase orders or on<br \/>\n                 StorageTek&#8217;s acknowledgment, whether in conflict with this<br \/>\n                 Agreement or not, are superseded hereby and are of no force<br \/>\n                 and effect.<\/p>\n<p>         11.4    StorageTek agrees to accept conforming IBM purchase orders and<br \/>\n                 to manufacture, supply and Deliver Equipment in accordance<br \/>\n                 with the terms and conditions of this Agreement.  StorageTek<br \/>\n                 agrees to provide written acknowledgment of IBM&#8217;s purchase<br \/>\n                 orders within two (2) days, for volumes within IBM&#8217;s forecast,<br \/>\n                 or within five (5) days, for volumes  in excess of IBM&#8217;s<br \/>\n                 forecast, as measured from StorageTek&#8217;s actual receipt of the<br \/>\n                 purchase order (without regard to the Notices section of this<br \/>\n                 agreement, except for EDI) which purchase order may be made<br \/>\n                 verbally and\/or in advance of StorageTek&#8217;s receipt of a hard<br \/>\n                 copy confirming such order.  If StorageTek&#8217;s acknowledgment is<br \/>\n                 not received by IBM within the two (2) or five (5) day period,<br \/>\n                 as described above, from the date of receipt of the purchase<br \/>\n                 order from IBM, then the purchase order, including the<br \/>\n                 requested delivery date(s) will be deemed to be accepted by<br \/>\n                 StorageTek.  StorageTek may not reject any IBM purchase order<br \/>\n                 that conforms to the requirements of this Agreement and covers<br \/>\n                 quantities forecasted by IBM, as described in Section 10.<\/p>\n<p>         11.5    Orders for FRUs needed on a &#8220;Code A&#8221; basis (i.e.,<br \/>\n                 emergency-customer down) will be shipped by StorageTek within<br \/>\n                 twenty-four (24) hours at a price not to exceed the lesser of<br \/>\n                 **  of the price in Exhibit 5 or such price plus  ** , with<br \/>\n                 IBM designating<\/p>\n<p>&#8211; &#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<\/p>\n<p>**     Confidential portions omitted and filed separately with the Securities<br \/>\n       and Exchange Commission under an application for confidential treatment.<\/p>\n<p>                                       33<br \/>\n   41<br \/>\n                 the carrier and being responsible for freight and insurance<br \/>\n                 costs.  However, IBM will not pay any premium (i.e. pay only<br \/>\n                 100%) for Code A FRUs necessitated because StorageTek has<br \/>\n                 failed to deliver nonemergency FRU orders within the lead<br \/>\n                 times set forth in Exhibit 5.<\/p>\n<p>         11.6    IBM may cancel purchase order(s) or any portions thereof for<br \/>\n                 any reason by notifying StorageTek in writing at least ten<br \/>\n                 (10) days prior to the scheduled Delivery date.  Cancellation<br \/>\n                 will be effective upon StorageTek&#8217;s receipt of the written<br \/>\n                 cancellation notice from IBM.  StorageTek will immediately<br \/>\n                 cease building such units for the affected purchase order(s)<br \/>\n                 in accordance with the cancellation notice.  IBM will have no<br \/>\n                 liability for canceled purchase orders other than as set forth<br \/>\n                 in Section 10.2, and, if applicable, any Recovery Payment as<br \/>\n                 described in Section 7.6 hereof.<\/p>\n<p>         11.7    If for any reason StorageTek is unable to Deliver as required<br \/>\n                 by accepted IBM purchase order(s), and fails to correct such<br \/>\n                 inability within  **  of such failure, IBM will have the right<br \/>\n                 to cancel such purchase order(s) or portions thereof  by<br \/>\n                 notifying StorageTek in writing.  If IBM cancels purchase<br \/>\n                 orders under this Section 11.7, IBM&#8217;s only obligation will be<br \/>\n                 to pay for Products or Upgrades already delivered at the time<br \/>\n                 of IBM&#8217;s cancellation notice  **  .<\/p>\n<p>         11.8    Due to ongoing and unpredictable market conditions, StorageTek<br \/>\n                 agrees to permit IBM, upon written notice to StorageTek, to<br \/>\n                 require StorageTek to reconfigure units of Products and<br \/>\n                 Upgrades as follows:<\/p>\n<p>                 a.    Configuration changes that do not change a unit model<br \/>\n                       number may be made without additional cost until  **<br \/>\n                       before scheduled Delivery; and<\/p>\n<p>                 b.    Any other configuration changes may be made at any time<br \/>\n                       (including Product and Upgrades that require<br \/>\n                       reconfiguration after Delivery) and such configuration<br \/>\n                       changes will be  ** .  StorageTek and IBM will agree in<br \/>\n                       advance on a schedule of lead times and costs that will<br \/>\n                       apply to such configurations.<\/p>\n<p>         11.9    Subject to Section 10, IBM may reschedule purchase order(s) or<br \/>\n                 any portions thereof for any reason by notifying StorageTek in<br \/>\n                 writing at least  **  prior to the Delivery Date specified on<br \/>\n                 the purchase order(s).<\/p>\n<p>         11.10   For the last quarter of this Agreement, the purchase orders<br \/>\n                 submitted by IBM to StorageTek shall be noncancelable unless<br \/>\n                 StorageTek is manufacturing Devices.<\/p>\n<p>         11.11   Products and Upgrades that are supplied to IBM hereunder will<br \/>\n                 consist of new parts and components.  FRUs that IBM returns<br \/>\n                 will be reworked by StorageTek to an equivalent-to-new<br \/>\n                 reliability level.  Such reworked FRUs will not be used in any<br \/>\n                 new<\/p>\n<p>&#8211; &#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<\/p>\n<p>**     Confidential portions omitted and filed separately with the Securities<br \/>\n       and Exchange Commission under an application for confidential treatment.<\/p>\n<p>                                       34<br \/>\n   42<br \/>\n                 Products or Upgrades Delivered to IBM hereunder, but may<br \/>\n                 instead be returned to IBM as reworked FRUs.<\/p>\n<p>12.      CONSIGNMENT<\/p>\n<p>         12.1    IBM will consign certain disk drives (&#8220;Drives&#8221;) to StorageTek<br \/>\n                 for use in Equipment.  Drives supplied by IBM to StorageTek<br \/>\n                 shall only be used by StorageTek to build Equipment for IBM<br \/>\n                 and shall remain the property of IBM.<\/p>\n<p>         12.2    StorageTek agrees to sign and adhere to the terms and<br \/>\n                 conditions of the IBM Consignment Agreement, attached hereto<br \/>\n                 as Exhibit 4, provided, however, that the terms of this<br \/>\n                 Section 12 prevail over those of Exhibit 4.<\/p>\n<p>         12.3    IBM agrees to consign Drives to StorageTek in accordance with<br \/>\n                 a mutually agreed Profile based on at least a  five-day buffer<br \/>\n                 ahead of StorageTek&#8217;s build cycle, and including a yield<br \/>\n                 factor based upon the previous quarter&#8217;s experience and<br \/>\n                 calculated using a mutually agreed formula.  Any Drives, or<br \/>\n                 other IBM-supplied parts and components, that are not used by<br \/>\n                 StorageTek due to integration fall-out will be returned to IBM<br \/>\n                 within ten (10) days after such fall-out.<\/p>\n<p>         12.4    If IBM fails to provide consigned Drives to StorageTek in<br \/>\n                 accordance with Section 12.3, and StorageTek&#8217;s manufacturing<br \/>\n                 line is down such that StorageTek cannot  meet its Delivery<br \/>\n                 dates to IBM, then StorageTek will agree, per Section 10.2, to<br \/>\n                 hold up to  **  , as the case may be, of such undelivered and<br \/>\n                 forecasted Products and Upgrades, without Drives, in inventory<br \/>\n                 for up to  ** .  If the amount of such Products and Upgrades<br \/>\n                 held in inventory exceeds  **  of the forecasted volumes then<br \/>\n                 StorageTek will notify IBM, and IBM will  **  .<\/p>\n<p>         12.5    If IBM Drives are not available for an extended period of<br \/>\n                 time, IBM may request assistance from StorageTek in securing<br \/>\n                 drives from other drive manufacturers in lieu of using IBM<br \/>\n                 Drives. StorageTek agrees, on a best effort basis, to assist<br \/>\n                 in securing the most cost effective, high quality alternative,<br \/>\n                 and with the agreement of IBM, to take the steps necessary to<br \/>\n                 integrate such drives into the Product.  In such event, the<br \/>\n                 parties will agree in advance on an equitable division of<br \/>\n                 StorageTek&#8217;s cost of securing, qualifying and integrating such<br \/>\n                 drives, including any cost relating to inventory or required<br \/>\n                 firm purchase commitments even if such substitution is only<br \/>\n                 temporary in nature.<\/p>\n<p>         12.6    StorageTek agrees to return to IBM freight collect any IBM<br \/>\n                 consigned Drives in StorageTek&#8217;s inventory, within five (5)<br \/>\n                 days of receipt of IBM&#8217;s written (or EDI) request.<\/p>\n<p>&#8211; &#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<\/p>\n<p>**     Confidential portions omitted and filed separately with the Securities<br \/>\n       and Exchange Commission under an application for confidential treatment.<\/p>\n<p>                                       35<br \/>\n   43<br \/>\n13.      DELIVERY<\/p>\n<p>         13.1    ON-TIME DELIVERY<\/p>\n<p>                 a.    StorageTek shall use its best efforts to ensure that<br \/>\n                       every scheduled Delivery date is met.  StorageTek must<br \/>\n                       notify IBM in advance if a scheduled Delivery date will<br \/>\n                       not be met.  StorageTek will make every reasonable<br \/>\n                       effort at its expense to ensure the earliest possible<br \/>\n                       Delivery date and quantities for late Equipment,<br \/>\n                       including, but not limited to, overtime and expedite<br \/>\n                       charges.  &#8220;On schedule&#8221; means  **  .  Unless delay is<br \/>\n                       caused by IBM&#8217;s delay in its supply of Drives or<br \/>\n                       IBM-supplied parts and components, StorageTek will<br \/>\n                       arrange for premium transportation and pay, at<br \/>\n                       StorageTek&#8217;s sole cost and expense, for the difference<br \/>\n                       between normal transportation and such premium<br \/>\n                       transportation, including, but not limited to, air<br \/>\n                       transportation and expedited freight charges. StorageTek<br \/>\n                       also agrees to provide, at IBM&#8217;s request, an action plan<br \/>\n                       to correct late shipments and to resolve any Delivery<br \/>\n                       problems.<\/p>\n<p>                 b.    If, during any  **  period, StorageTek fails, on a<br \/>\n                       one-time basis only, to Deliver more than  ** ,  but not<br \/>\n                       more than  ** , of the units of Equipment that are<br \/>\n                       scheduled for Delivery in a calendar month by their<br \/>\n                       scheduled Delivery dates, then StorageTek shall be<br \/>\n                       required to expedite shipment of such units in<br \/>\n                       accordance with Section 13.1.    **   .<\/p>\n<p>                 c.    If StorageTek fails to Deliver more than  **  of the<br \/>\n                       units of Equipment that are scheduled for Delivery by<br \/>\n                       their scheduled Delivery dates in the next following<br \/>\n                       month, and except for Volumes subject to the one time<br \/>\n                       per  **  provision defined in 13.1b, above, then   **  .<\/p>\n<p>                 d.    If, in the month following any month in which a  **<br \/>\n                       adjustment was credited to   **   Volumes under this<br \/>\n                       Section 13.1, StorageTek fails to Deliver more than  **<br \/>\n                       of the units of Equipment that are scheduled for<br \/>\n                       Delivery by their scheduled Delivery dates, then  **  .<\/p>\n<p>                 e.    If, in the next following month, StorageTek fails to<br \/>\n                       Deliver more than  **  of the units of Equipment that<br \/>\n                       are scheduled for Delivery by their scheduled Delivery<br \/>\n                       dates,  **  .<\/p>\n<p>                 f. Notwithstanding anything to the contrary in this<br \/>\n                       Section, and in lieu of credits provided in other<br \/>\n                       paragraphs of this Section, if, in any calendar month,<br \/>\n                       and subject to Section 13.1b. above, StorageTek fails to<br \/>\n                       Deliver more than  **  of the units of Equipment that<br \/>\n                       are scheduled for Delivery by their scheduled Delivery<br \/>\n                       dates, then ** .<\/p>\n<p>                 h.    **<\/p>\n<p>                 i.    Notwithstanding anything to the contrary in this<br \/>\n                       Section, units of Equipment which StorageTek fails to<br \/>\n                       Deliver by the Delivery date will not be counted as<br \/>\n                       failures to Deliver if StorageTek causes such units to<br \/>\n                       be delivered to IBM customers by the delivery date IBM<br \/>\n                       has committed to such customers (the &#8220;Commit Date&#8221;).<br \/>\n                       IBM will notify StorageTek in writing of each unit of<br \/>\n                       Equipment which fails to arrive by the Commit Date<br \/>\n                       within ten (10) business days after StorageTek notifies<br \/>\n                       IBM that such shipment was expedited.<\/p>\n<p>                 j.     **<\/p>\n<p>                 k.    If StorageTek fails to deliver to IBM more than  **  of<br \/>\n                       the units of Equipment scheduled for Delivery by the<br \/>\n                       scheduled Delivery dates in a month, for  **<br \/>\n                       consecutive calendar months then the payment terms in<br \/>\n                       Section 7.10a will be immediately extended to  ** days<br \/>\n                       until  **  after the first month in which StorageTek<br \/>\n                       Delivers  **  or more of Equipment on its scheduled<br \/>\n                       Delivery date.<\/p>\n<p>                 l.    IBM expressly reserves the right to assert that any<br \/>\n                       failure to ship Equipment on a timely basis, including,<br \/>\n                       but not limited to, failures for which volume<br \/>\n                       adjustments are provided for in this section, could<br \/>\n                       constitute a material breach of StorageTek&#8217;s obligations<br \/>\n                       under this Agreement.<\/p>\n<p>         13.2    CARRIER<\/p>\n<p>                 It is understood and agreed that IBM shall make all<br \/>\n                 arrangements for shipments of the Equipment. It shall be the<br \/>\n                 responsibility of IBM, at its own expense, to supply<br \/>\n                 StorageTek with detailed documentation and instructions and<br \/>\n                 all necessary export licenses, customs declarations and<br \/>\n                 certificates in properly executed form required for successful<br \/>\n                 shipment of Equipment from the Manufacturing Site and entry<br \/>\n                 into foreign territories. StorageTek shall notify IBM when<br \/>\n                 Equipment is ready for shipment from StorageTek&#8217;s plant. IBM<br \/>\n                 will pay all shipping and transportation charges directly to<br \/>\n                 the carrier or freight forwarder as long as shipped in<br \/>\n                 accordance with IBM&#8217;s routing instructions. If<br \/>\n                 StorageTek ships using other than an IBM- approved carrier,<br \/>\n                 StorageTek is responsible for any incremental increase in<br \/>\n                 freight charges.<\/p>\n<p>         13.3    TITLE\/RISK OF LOSS<\/p>\n<p>                 Title to Equipment and risk of  loss shall pass to IBM at<br \/>\n                 StorageTek&#8217;s plant of manufacture loading dock.  [F.O.B. by<br \/>\n                 UCC\/ExWorks by INCOTERMS]; provided, however, that<br \/>\n                 notwithstanding anything to the contrary in this Agreement<br \/>\n                 title to all Licensed Works will remain with StorageTek,<br \/>\n                 except as provided in the IDA and its related Attachments. All<br \/>\n                 claims for shipping damage shall be resolved between IBM,<br \/>\n                 carriers or freight forwarders handling the Equipment and the<br \/>\n                 insurance companies and agents responsible for adjusting such<br \/>\n                 claims, and StorageTek shall have no responsibility with<br \/>\n                 respect thereto. However, at IBM&#8217;s request, StorageTek agrees<br \/>\n                 to cooperate reasonably with IBM in filing and settling such<br \/>\n                 claims.<\/p>\n<p>         13.4    PACKAGING<\/p>\n<p>                 StorageTek will package each unit of Equipment according to an<br \/>\n                 agreed-upon Specification for packaging.  The prices for<br \/>\n                 Equipment include all packaging costs.<\/p>\n<p>14.      EQUIPMENT WARRANTY<\/p>\n<p>         14.1    StorageTek warrants that units of Equipment (excluding Drives<br \/>\n                 and nonserialized FRUs) that are to be provided to IBM<br \/>\n                 hereunder conform to the Specifications and are and shall<br \/>\n                 remain free from defects in materials and workmanship, for the<br \/>\n                 time periods specified in this Section 14.1.<\/p>\n<p>                 a. StorageTek&#8217;s<br \/>\n                 agreement will not unreasonably be withheld.  In order to<br \/>\n                 improve Equipment quality and minimize costs, StorageTek may<br \/>\n                 request relevant information from the data which IBM retains<br \/>\n                 regarding failure by machine serial number.  IBM may agree to<br \/>\n                 provide such information to StorageTek.  Such agreement will<br \/>\n                 not be unreasonably withheld.<\/p>\n<p>         14.4    StorageTek&#8217;s liability under warranty pursuant to Section 14.1<br \/>\n                 is limited to:  Delivery to the IBM regional stocking<br \/>\n                 locations specified by IBM of retrofit kits (containing FRUs)<br \/>\n                 with installation instructions (at no charge to IBM) as<br \/>\n                 necessary to make Equipment conform to the Specifications, or<br \/>\n                 otherwise be free from defects in materials and workmanship;<br \/>\n                 or repair or replacement, at StorageTek&#8217;s option, without cost<br \/>\n                 to IBM, of the defective Equipment.  IBM will use reasonable<br \/>\n                 efforts to resolve customer issues through use of FRUs or<br \/>\n                 retrofit kits before requesting repair or replacement of the<br \/>\n                 defective Product or Upgrade.  Labor to remove defective FRUs<br \/>\n                 and install replacement FRUs under this warranty shall be<br \/>\n                 supplied by IBM at no charge to StorageTek, subject to Section<br \/>\n                 9.3h.  Where warranty can be provided by replacing a FRU,<br \/>\n                 StorageTek will provide and IBM will install the replacement<br \/>\n                 FRU.<\/p>\n<p>         14.5    All warranty claims shall be made by IBM, regardless of any<br \/>\n                 transfer of title or possession of the Equipment by IBM to<br \/>\n                 other parties, and StorageTek agrees that IBM may make<br \/>\n                 warranty claims against StorageTek on the behalf of any<br \/>\n                 rightful user or possessor of the Equipment.<\/p>\n<p>         14.6    StorageTek&#8217;s liability to perform warranty under this Section<br \/>\n                 14  shall not apply to failures of any unit of Equipment<br \/>\n                 caused by:<\/p>\n<p>                 a.    Physical abuse or use that is not consistent with<br \/>\n                       operating instructions for the Equipment; or<\/p>\n<p>                 b.    Modification (by other than StorageTek&#8217;s personnel or<br \/>\n                       agents) in any way other than approved by StorageTek;<br \/>\n                       provided, however, that the warranty shall not be voided<br \/>\n                       by repair or replacement of FRUs or the attachment of<br \/>\n                       items in the manner described in maintenance or<br \/>\n                       installation instructions provided by StorageTek.<\/p>\n<p>         14.7    Claims under the terms of this warranty shall be submitted to<br \/>\n                 StorageTek in writing (including EDI) and shall clearly state<br \/>\n                 the Product or Upgrade serial number.  Where<\/p>\n<p>                                       39<br \/>\n   47<br \/>\n                 available, IBM shall send StorageTek its field defect report.<br \/>\n                 Defective FRUs replaced under this warranty become the<br \/>\n                 property of StorageTek.<\/p>\n<p>         14.8    Both Parties will ensure that FRUs returned to the other Party<br \/>\n                 are properly and adequately packaged, and IBM agrees to use<br \/>\n                 the same or equivalent packaging as StorageTek uses to package<br \/>\n                 such FRUs.<\/p>\n<p>         14.9    StorageTek shall use reasonable commercial efforts to complete<br \/>\n                 repairs of FRUs for in-warranty units within thirty (30)<br \/>\n                 business days after the date StorageTek receives the defective<br \/>\n                 FRUs, but in any case, it will complete repairs of the FRUs at<br \/>\n                 no charge to IBM within sixty (60) days after receipt.  If,<br \/>\n                 upon receipt, StorageTek determines that such defective FRUs<br \/>\n                 are not repairable or if StorageTek has not completed its<br \/>\n                 failure analysis on any FRU within ten (10) business days<br \/>\n                 after StorageTek&#8217;s receipt, then replacement FRUs will be<br \/>\n                 provided at no charge by StorageTek to IBM within ten (10)<br \/>\n                 business days.  If StorageTek cannot find a defect or<br \/>\n                 assignable cause in a FRU that is returned by IBM as<br \/>\n                 defective, StorageTek will replace the received FRU and will<br \/>\n                 ensure that the FRU is not included in Equipment and cannot be<br \/>\n                 returned in the future to IBM.<\/p>\n<p>         14.10   LICENSED PROGRAMS, MICROCODE AND MAINTENANCE CODE WARRANTY<\/p>\n<p>                 a.    StorageTek warrants that the Licensed Programs and<br \/>\n                       Microcode will conform to the Specifications, as such<br \/>\n                       Specifications may be modified by any Product<br \/>\n                       Development Plan, and are and shall remain free from<br \/>\n                       defects in workmanship.  The Maintenance Code shall<br \/>\n                       remain free from defects in workmanship. In the event of a breach of the warranties contained in<br \/>\n                       this Section 14.10, StorageTek will exercise reasonable<br \/>\n                       commercial efforts to implement appropriate procedures<br \/>\n                       to correct such breach in accordance with Section 16.8,<br \/>\n                       for Licensed Programs and Microcode and Section 16.7 for<br \/>\n                       Maintenance Code.<\/p>\n<p>         14.11   StorageTek warrants that it will competently perform all work<br \/>\n                 relating to the Deliverables in a manner consistent with<br \/>\n                 ordinary Microcode programmers skilled in the art, and,<br \/>\n                 further, all Deliverables will conform to the mutually<br \/>\n                 agreed-upon Specifications.<\/p>\n<p>         14.12   THE WARRANTIES IN SECTIONS 14 AND 18 OF THIS OEM AGREEMENT,<br \/>\n                 AND IN PART 6 OF THE SOURCE CODE CUSTODY AGREEMENT, ARE IN<br \/>\n                 LIEU OF ALL OTHER WARRANTIES EITHER WRITTEN, ORAL OR IMPLIED<br \/>\n                 WITH RESPECT TO THE EQUIPMENT, DELIVERABLES, LICENSED PROGRAMS<br \/>\n                 AND MAINTENANCE CODE.<\/p>\n<p>                 STORAGETEK DISCLAIMS THE IMPLIED WARRANTIES OF<br \/>\n                 MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  EXCEPT<br \/>\n                 AS OTHERWISE PROVIDED IN SECTION 18.2, STORAGETEK ALSO<br \/>\n                 DISCLAIMS THE IMPLIED WARRANTY OF NONINFRINGEMENT.<\/p>\n<p>                 STORAGETEK&#8217;S WARRANTY OBLIGATIONS SHALL EXTEND ONLY TO IBM,<br \/>\n                 AND STORAGETEK SHALL HAVE NO LIABILITY ARISING OUT OF ANY<br \/>\n                 WARRANTIES PROVIDED BY IBM WHICH ARE BEYOND STORAGETEK&#8217;S<br \/>\n                 WARRANTY OBLIGATIONS IN THIS AGREEMENT.<\/p>\n<p>                 IBM&#8217;S EXCLUSIVE REMEDY FOR A BREACH OF THE WARRANTY SET FORTH<br \/>\n                 IN THIS SECTION 14 IS SET FORTH IN SECTION 14.4 FOR EQUIPMENT,<br \/>\n                 AND SECTION 14.10(b); FOR LICENSED PROGRAMS, MICROCODE AND<br \/>\n                 MAINTENANCE CODE, PROVIDED, HOWEVER, THAT STORAGETEK PROMPTLY<br \/>\n                 PERFORMS ITS WARRANTY OBLIGATIONS PURSUANT TO SECTION 14.<\/p>\n<p>15. In the<br \/>\n                 alternative, and at IBM&#8217;s option, StorageTek agrees to grant<br \/>\n                 IBM the right to manufacture such FRUs in accordance with<br \/>\n                 Section 23.6.<\/p>\n<p>         15.3    FRUs shall be packaged in the same or equivalent packaging as<br \/>\n                 StorageTek used to package such FRUs.  Return of FRUs for<br \/>\n                 repair or replacement is subject to a reasonable material<br \/>\n                 return procedure to be mutually agreed between the Parties.<\/p>\n<p>         15.4    FRU REWORK PROCEDURES AND PRICES<\/p>\n<p>                 a.    StorageTek will attempt to rework\/repair all FRUs<br \/>\n                       returned from IBM and return them to IBM within 30 days<br \/>\n                       of receipt.  At IBM&#8217;s request, StorageTek will also ship<br \/>\n                       to IBM any unrepairable FRUs.<\/p>\n<p>                 b.    Except as otherwise provided in Section 9, Quality, and<br \/>\n                       Section 14, Equipment Warranty, StorageTek will invoice<br \/>\n                       IBM, and IBM agrees to pay, ** for FRUs as described<br \/>\n                       in Section 7.7, plus normal transportation charges<br \/>\n                       unless IBM requests special handling. StorageTek<br \/>\n                 will identify portions of the materials which are subject to<br \/>\n                 third-party rights.<\/p>\n<p>         17.7    MARKETING TOOLS<\/p>\n<p>                 StorageTek will provide all of its marketing tools, software<br \/>\n                 and related documentation related to the Products and<br \/>\n                 Upgrades, excluding third-party confidential materials,  **  .<br \/>\n                 In addition, StorageTek will reasonably assist IBM in updating<br \/>\n                 its own tools to support Products and Upgrades. REPRESENTATIONS AND WARRANTIES<\/p>\n<p>         18.1    Each Party represents and warrants that it has the authority<br \/>\n                 and right to enter into this Agreement, and has no existing<br \/>\n                 obligations, and shall not assume any obligations, that<br \/>\n                 conflict with its obligations or the rights granted to it in<br \/>\n                 this Agreement.  Each Party also represents and warrants that<br \/>\n                 it has the authority to convey the rights granted or assigned<br \/>\n                 by it in this Agreement.  Each Party will provide, upon<br \/>\n                 request, copies of agreements or other documentation necessary<br \/>\n                 to establish such rights.  If a Party is unable to supply a<br \/>\n                 copy of such agreements or other documentation, then such<br \/>\n                 Party shall use its best efforts to obtain such agreements or<br \/>\n                 other documentation to sufficiently establish that it has been<br \/>\n                 granted these rights.<\/p>\n<p>         18.2     **<\/p>\n<p>         18.3    StorageTek represents and warrants that, with respect to the<br \/>\n                 Deliverables, Licensed Programs and Maintenance Code created<br \/>\n                 outside the United States, all authors have waived their moral<br \/>\n                 rights in all Deliverables, Licensed Programs and Maintenance<br \/>\n                 Code to the extent permitted by law.<\/p>\n<p>         18.4    StorageTek represents and warrants that the Equipment (or<br \/>\n                 Devices if manufactured by IBM pursuant to Section 23.6), when<br \/>\n                 used in accordance with the Specifications, will not present a<br \/>\n                 health or safety risk to persons or property; and the<br \/>\n                 Equipment shall comply with all applicable regulatory health<br \/>\n                 and safety standards, including UL, CSA, VDE, IEC, FCC,<br \/>\n                 European Economic Community CE-mark standards, any other<br \/>\n                 standards that are described in the Specifications or as<br \/>\n                 required by law. TRADEMARK &amp; ADVERTISING<\/p>\n<p>         19.1    TRADEMARK AND DESIGN RIGHTS<\/p>\n<p>                 Except as provided in Section 8, but notwithstanding any other<br \/>\n                 provisions of this Agreement, neither party hereto is granted<br \/>\n                 the right to use the trademarks, trade names, or service marks<br \/>\n                 of the other party (including those of Subsidiaries), directly<br \/>\n                 or indirectly, in connection with any product, promotion or<br \/>\n                 publication without the prior written approval of the other<br \/>\n                 party, except that IBM may use StorageTek&#8217;s trademarks and<br \/>\n                 trade names for the aforementioned purposes on any Equipment<br \/>\n                 shipped by StorageTek which bears such trademarks or trade<br \/>\n                 names.  Any approved use of one Party&#8217;s trademark or trade<br \/>\n                 name shall enure to the benefit of the Party owning such<br \/>\n                 trademark or trade name.<\/p>\n<p>         19.2    ADVERTISING\/DISCLOSURE<\/p>\n<p>                 Neither party shall, without first obtaining the written<br \/>\n                 consent of the other party, in any manner disclose any details<br \/>\n                 of the work to be performed herein, the terms, conditions and<br \/>\n                 subject matter of this Agreement, or documents issued<br \/>\n                 hereunder, except as may be required by law or government rule<br \/>\n                 or regulation.  To the extent that a party is compelled to<br \/>\n                 make a disclosure due to government rule or regulation, such<br \/>\n                 disclosure shall be limited to the extent required, and the<br \/>\n                 other party shall have an opportunity to review the<br \/>\n                 information prior to its release. Each party may independently<br \/>\n                 and without the consent of the other party inform customers of<br \/>\n                 the fact that an OEM distribution arrangement exists between<br \/>\n                 the Parties; however, to the extent that such communication<br \/>\n                 includes any additional information about the other party,<br \/>\n                 such party shall have an opportunity to review such<br \/>\n                 information prior to disclosure.<\/p>\n<p>         19.3    Upon request by IBM, StorageTek shall apply IBM&#8217;s, its<br \/>\n                 Subsidiaries&#8217;, its distributors&#8217; and\/or its OEMs&#8217; trademarks,<br \/>\n                 logos and other information designated by IBM for the Product<br \/>\n                 and Upgrades as may be provided to StorageTek by IBM.<\/p>\n<p>         19.4    **<\/p>\n<p>         19.5    Use of a Party&#8217;s trademarks by the other Party shall not<br \/>\n                 diminish the owner&#8217;s right, title or interest to such<br \/>\n                 trademarks.<\/p>\n<p>&#8211; &#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<\/p>\n<p>**     Confidential portions omitted and filed separately with the Securities<br \/>\n       and Exchange Commission under an application for confidential treatment.<\/p>\n<p>                                       50<br \/>\n   58<br \/>\n20.      CONFIDENTIALITY<\/p>\n<p>         20.1    It is anticipated that confidential information will be<br \/>\n                 exchanged between the Parties.  Where confidential information<br \/>\n                 must be exchanged, it will be exchanged under an IBM Agreement<br \/>\n                 for the Exchange of Confidential Information (hereafter<br \/>\n                 &#8220;AECI&#8221;).<\/p>\n<p>         20.2    With respect to all nonconfidential information disclosed by<br \/>\n                 one party (hereafter the &#8220;Disclosing Party&#8221;) to the other<br \/>\n                 party (hereafter the &#8220;Receiving Party&#8221;), except to the extent<br \/>\n                 such information is protected by the Disclosing Party&#8217;s patent<br \/>\n                 or copyright rights, the Disclosing Party grants to the<br \/>\n                 Receiving Party, to the extent, if any, of its interest<br \/>\n                 therein, a nonexclusive, royalty-free, irrevocable,<br \/>\n                 unrestricted, worldwide license to use, have used, disclose to<br \/>\n                 others, make copies in the case of documents, and dispose of,<br \/>\n                 all without limitation, such nonconfidential information in<br \/>\n                 any manner as it determines, including the use of such<br \/>\n                 nonconfidential information in the development, manufacture,<br \/>\n                 marketing and maintenance of products and services<br \/>\n                 incorporating such nonconfidential information.<\/p>\n<p>21.      ASSIGNMENT &amp; CHANGE OF CONTROL<\/p>\n<p>         Neither Party shall assign or subcontract this Agreement, or any right<br \/>\n         or obligation hereunder, without the prior written consent of the<br \/>\n         other Party, except that subcontracts pursuant to StorageTek&#8217;s normal<br \/>\n         manufacturing procedures may be assigned, provided, however, that<br \/>\n         StorageTek may not subcontract final assembly and test without IBM&#8217;s<br \/>\n         prior written consent.  Any attempted assignment or subcontract not in<br \/>\n         compliance with this paragraph shall be void.<\/p>\n<p>         StorageTek shall promptly notify IBM in writing of any Change of<br \/>\n         Control  **<\/p>\n<p>         21.1    In the event that a Change in Control occurs whereby control<br \/>\n                 of StorageTek is acquired by (i)  **  .<\/p>\n<p>         21.2    In the event that a Change of Control occurs   **<\/p>\n<p>          **<\/p>\n<p>22.      DISPUTE RESOLUTION<\/p>\n<p>         22.1    ESCALATION PROCESS<\/p>\n<p>                 The Parties will attempt in good faith to promptly resolve any<br \/>\n                 controversy or claim arising out of or relating to this<br \/>\n                 Agreement by negotiations between executives of the Parties.<\/p>\n<p>&#8211; &#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8212;&#8211;<\/p>\n<p>**     Confidential portions omitted and filed separately with the Securities<br \/>\n       and Exchange Commission under an application for confidential treatment.<\/p>\n<p>                                       51<br \/>\n   59<br \/>\n                 If a controversy or claim should arise, the Agreement<br \/>\n                 Administrators, or their respective successors, or their<br \/>\n                 superiors, will meet in person or phone, as they decide, at<br \/>\n                 least once and will attempt to resolve the matter.  Either<br \/>\n                 Agreement Administrator may require the other to meet within<br \/>\n                 seven days at a mutually agreed upon time and location.<\/p>\n<p>                 If the matter has not been resolved within ten days of their<br \/>\n                 first meeting, or a request for such meeting if no meeting<br \/>\n                 occurs, the Agreement Administrators shall refer the matter to<br \/>\n                 senior executives, who shall have authority to settle the<br \/>\n                 dispute (hereafter &#8220;Senior Executives&#8221;). The Senior Executive<br \/>\n                 for IBM shall be the General Manager of IBM&#8217;s Storage System<br \/>\n                 business or his\/her designee and the Senior Executive of<br \/>\n                 StorageTek shall be its Chief Executive Officer, or his\/her<br \/>\n                 designee.  Thereupon, the Agreement Administrators shall<br \/>\n                 promptly prepare and exchange memoranda stating the issues in<br \/>\n                 dispute, and their positions, summarizing the negotiations<br \/>\n                 which have taken place, and attaching relevant documents.  The<br \/>\n                 Senior Executives will meet in person or by telephone within<br \/>\n                 seven (7) days of the end of the ten- (10) day period referred<br \/>\n                 to above, at a mutually agreed time.<\/p>\n<p>                 The first meeting shall be held at the offices of the<br \/>\n                 Agreement Administrator receiving the request to meet. If more<br \/>\n                 than one meeting is held, the meetings shall be held in<br \/>\n                 rotation at the offices of IBM and StorageTek.<\/p>\n<p>                 If the matter has not been resolved within fifteen (15) days<br \/>\n                 of the first meeting of the Senior Executives (which period<br \/>\n                 may be extended by mutual agreement), the Parties will attempt<br \/>\n                 in good faith to resolve the controversy or claim in<br \/>\n                 accordance with the following mediation process.  During the<br \/>\n                 course of negotiations between the representatives, all<br \/>\n                 reasonable requests made by one party to the other for<br \/>\n                 nonprivileged information will be honored in order that each<br \/>\n                 of the parties may be fully informed of the circumstances<br \/>\n                 relevant to the dispute.<\/p>\n<p>         22.2    MEDIATION PROCESS<\/p>\n<p>                 If the escalation process fails to resolve a dispute in<br \/>\n                 connection with this Agreement, any such dispute shall be<br \/>\n                 submitted to expedited mediation prior to the commencement of<br \/>\n                 any litigation with respect to such dispute. In the event<br \/>\n                 either party intends to seek recourse against the other by an<br \/>\n                 action at law or in equity, such party shall first give notice<br \/>\n                 to the other party. Within ten (10) business days of such<br \/>\n                 notice, the Parties shall attempt to agree on one mediator who<br \/>\n                 shall be a person mutually agreeable to both Parties and who<br \/>\n                 shall be experienced in the DASD industry. In the event the<br \/>\n                 Parties cannot agree on one mediator, each shall have the<br \/>\n                 right to appoint one mediator, and the two mediators shall<br \/>\n                 appoint a third. Mediation shall commence within twenty (20)<br \/>\n                 business days of the notice of request for mediation. Each<br \/>\n                 party agrees to cooperate fully with the mediator(s) in an<br \/>\n                 attempt to resolve any disputes. The mediator(s) shall use the<br \/>\n                 rules of the American Arbitration Association in conducting<br \/>\n                 the mediation. Any decision reached through mediation shall be<br \/>\n                 in writing but shall not be legally binding upon the Parties<br \/>\n                 nor admissible as evidence in any legal<\/p>\n<p>                                       52<br \/>\n   60<br \/>\n                 proceedings.  If the Parties cannot resolve their differences<br \/>\n                 to their mutual satisfaction within thirty (30) business days<br \/>\n                 of the request for mediation, either Party shall be free to<br \/>\n                 pursue any and all other remedies available to such Party,<br \/>\n                 including, but not limited to, litigation.  Costs of the<br \/>\n                 Mediator shall be born equally by the Parties.<\/p>\n<p>23.      TERMINATION\/REMEDIES<\/p>\n<p>         23.1    TERMINATION BY MUTUAL CONSENT<\/p>\n<p>                 This Agreement shall be subject to termination prior to the<br \/>\n                 expiration of the term at any time by mutual consent of the<br \/>\n                 parties, evidenced by a written agreement providing for<br \/>\n                 termination.  Such agreement will include provisions to allow<br \/>\n                 StorageTek access to IBM disk drives of the same type as are<br \/>\n                 then being consigned to StorageTek and to provide IBM ongoing<br \/>\n                 maintenance, FRUs and Product Engineering Services if<br \/>\n                 StorageTek offers such items to any other entity.<\/p>\n<p>         23.2    TERMINATION BY BANKRUPTCY<\/p>\n<p>                 This Agreement may be immediately terminated by either Party<br \/>\n                 if any of the following events (&#8220;Triggering Events&#8221;) occur:<br \/>\n                 (1) the other Party files a voluntary petition under any<br \/>\n                 provision of the U.S. Bankruptcy Code or under any similar<br \/>\n                 insolvency law, makes an assignment for the benefit of its<br \/>\n                 creditors, (2) any involuntary petition in bankruptcy under<br \/>\n                 any provision of the U.S. Bankruptcy Code or under any similar<br \/>\n                 insolvency law is filed against such other Party, or (3) a<br \/>\n                 receiver is appointed for, or a levy or attachment is made<br \/>\n                 against all or substantially all of its assets, and such<br \/>\n                 involuntary petition is not dismissed or such receiver or levy<br \/>\n                 or attachment is not discharged within sixty (60) days after<br \/>\n                 the filing, appointment or making thereof.<\/p>\n<p>                 To the extent that applicable bankruptcy law does not permit<br \/>\n                 the exercise of rights under the immediately preceding<br \/>\n                 paragraph, the bankrupt party agrees that adequate assurance<br \/>\n                 of performance by the bankrupt party of the balance of this<br \/>\n                 Agreement as a &#8220;Debtor-in-possession&#8221; or any similar entity<br \/>\n                 under successor bankruptcy laws will include assurances both<br \/>\n                 of such entity&#8217;s ability to adequately produce products for<br \/>\n                 the specifically permitted Agreement and such entity&#8217;s<br \/>\n                 willingness and ability to protect the other party&#8217;s<br \/>\n                 proprietary rights.  As a personal contract, exercise of<br \/>\n                 rights by a trustee or assignment of rights hereunder would<br \/>\n                 not be appropriate and such understanding is an essential part<br \/>\n                 of each Party&#8217;s willingness to enter into this Agreement.<\/p>\n<p>         23.3    TERMINATION FOR CAUSE<\/p>\n<p>                 a.    If either Party is in material breach of this Agreement,<br \/>\n                       the other Party may give written notice to the<br \/>\n                       defaulting Party specifying the respects in which the<br \/>\n                       defaulting Party has failed to perform or comply with<br \/>\n                       the terms and conditions<\/p>\n<p>                                       53<br \/>\n   61<br \/>\n                       of this Agreement.  In the event that any defaults so<br \/>\n                       indicated shall not be remedied by the defaulting Party<br \/>\n                       within sixty (60) days (ten (10) days as to a failure to<br \/>\n                       pay any amounts indisputably due) unless a different<br \/>\n                       period is provided for elsewhere in this Agreement after<br \/>\n                       such notice, the party not in default may, by written<br \/>\n                       notice to the defaulting Party, terminate this<br \/>\n                       Agreement.<\/p>\n<p>                 b.    Either Party may submit disputes related to the notice<br \/>\n                       of termination to the Escalation Process or Mediation<br \/>\n                       Process described in Section 22 but such termination<br \/>\n                       notice shall not be stayed by submission to escalation<br \/>\n                       or mediation and termination shall take effect as set<br \/>\n                       forth above. Each Party hereby waives any right to a<br \/>\n                 jury trial in any dispute between them. Neither Party will assume or create<br \/>\n                 any obligation or responsibility, expressly or by implication,<br \/>\n                 on behalf of or in the name of  the other Party. The Exhibits,<br \/>\n                 their Attachments, their Appendices and their Schedules, are<br \/>\n                 attached to and referenced in this Agreement and are<br \/>\n                 incorporated herein by reference.<\/p>\n<p>         26.6    AMENDMENT<\/p>\n<p>                 For any change to this Agreement to be valid, it must be<br \/>\n                 signed by both Parties.<\/p>\n<p>         26.7    WAIVER<\/p>\n<p>                 The failure by either Party at any time to enforce the<br \/>\n                 provisions of this Agreement, to exercise any option or<br \/>\n                 election, or to require at ant time the performance by the<br \/>\n                 other Party of any provisions herein will not be construed as<br \/>\n                 a waiver of such provision.<\/p>\n<p>         26.8    SEVERABILITY<\/p>\n<p>                 If any provision or provisions of this Agreement shall be held<br \/>\n                 to be invalid, illegal or unenforceable, the validity,<br \/>\n                 legality and enforceability of the remaining provisions shall<br \/>\n                 not in any way be affected or impaired provided the original<br \/>\n                 intentions of both Parties are maintained.<\/p>\n<p>         26.9    WEEKENDS AND HOLIDAYS<\/p>\n<p>                 If any obligation of a party hereunder falls due on a weekend<br \/>\n                 day or a Federal holiday, then that obligation shall be due on<br \/>\n                 the next business day following such weekend day or Federal<br \/>\n                 holiday.<\/p>\n<p>                                       62<br \/>\n   70<br \/>\n         26.10   FORCE MAJEURE<\/p>\n<p>                 Neither StorageTek nor IBM shall be liable for any delay or<br \/>\n                 failure of performance hereunder due to any contingency beyond<br \/>\n                 its control which renders performance commercially<br \/>\n                 unreasonable including, but not limited to, an act of God,<br \/>\n                 war, mobilization, riot, strike, embargo, fire, flood,<br \/>\n                 hurricane, earthquake or power failure (&#8220;force majeure<br \/>\n                 incident&#8221;).<\/p>\n<p>                 When only part of StorageTek&#8217;s or IBM&#8217;s ability to perform is<br \/>\n                 excused under this section, StorageTek or IBM must allocate<br \/>\n                 production and deliveries or receipt of deliveries among<br \/>\n                 various customers or suppliers then under contract for similar<br \/>\n                 goods during the period when StorageTek or IBM is unable to<br \/>\n                 perform.  The allocation must be effected in accordance with<br \/>\n                 Section 10.5 of the Agreement.<\/p>\n<p>                 If either StorageTek or IBM claims excuse for nonperformance<br \/>\n                 under this section, it must give notice in writing to the<br \/>\n                 other party.<\/p>\n<p>                 If StorageTek is unable to Deliver or IBM is unable to sell<br \/>\n                 Equipment, or if IBM is unable to deliver Drives, due to a<br \/>\n                 force majeure incident, any units of Equipment that were<br \/>\n                 properly ordered by IBM and not Delivered will be counted<br \/>\n                 toward IBM&#8217;s attainment of its   **   Volumes, Annual Volumes<br \/>\n                 and Minimum Volumes.<\/p>\n<p>                 If a Party&#8217;s inability continues for more than one hundred<br \/>\n                 twenty (120) days, the other Party may terminate this<br \/>\n                 Agreement and IBM shall have no liability hereunder for<br \/>\n                 Recovery Payments and Liquidated Damages.<\/p>\n<p>         26.11   SURVIVAL<\/p>\n<p>                 The rights and obligations of Sections 1, 7.6, 7.7a, 7.8,<br \/>\n                 7.10, 9, 14, 15, 16.8, 18, 19.1, 19.2, 19.5, 20, 22, 23, 24,<br \/>\n                 25 and 26, and 11, 13.1a, 13.2, 13.3 and 13.4  (with respect<br \/>\n                 to FRUs), shall survive and continue after any expiration or<br \/>\n                 termination of this agreement and shall bind the parties and<br \/>\n                 their legal representatives, successors and assigns.<\/p>\n<p>         26.12   ORDER OF PRECEDENCE<\/p>\n<p>                 In the event that there is an inconsistency or conflict<br \/>\n                 between the terms in the Specifications and other terms of<br \/>\n                 this Agreement, then such other terms in this Agreement shall<br \/>\n                 take precedence over the terms in the Specifications.<\/p>\n<p>THIS AGREEMENT SUPERSEDES ALL PROPOSALS, ORAL OR WRITTEN, AND ALL NEGOTIATIONS,<br \/>\nCONVERSATIONS OR DISCUSSIONS HERETOFORE HAD BETWEEN THE PARTIES RELATED TO THE<br \/>\nSUBJECT MATTER OF THIS AGREEMENT.
