{"id":42665,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/pharmacy-benefit-management-agreement-united-healthcare.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"pharmacy-benefit-management-agreement-united-healthcare","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/operations\/pharmacy-benefit-management-agreement-united-healthcare.html","title":{"rendered":"Pharmacy Benefit Management Agreement &#8211; United HealthCare Services Inc. and Merck Medco Managed Care LLC"},"content":{"rendered":"<pre>                     PHARMACY BENEFIT MANAGEMENT AGREEMENT\n\n\n         This PHARMACY BENEFIT MANAGEMENT AGREEMENT (this \"Agreement\") is\nbetween UNITED HEALTHCARE SERVICES, INC., on behalf of itself and its affiliates\nfrom time to time, located at 9900 Bren Road East, Minnetonka, Minnesota 55343\n(hereinafter \"United HealthCare\"), and MERCK MEDCO MANAGED CARE, L.L.C. located\nat 100 Summit Avenue, Montvale, New Jersey 07645-1753 (hereinafter \"PBM\"). This\nAgreement is effective on the date the parties have each executed it (the\n\"Effective Date\"). It concerns services provided as of the \"Commencement Date,\"\nas hereinafter defined. This Agreement supersedes and replaces any existing\nagreements between the parties related to the same subject matter.\n\n                              W I T N E S S E T H:\n\n         WHEREAS, United HealthCare desires to contract with a pharmaceutical\nbenefits management entity for pharmaceutical benefit management and related\nservices that United HealthCare will make available, together with other United\nHealthCare services, to Health Plans, as hereinafter defined, and other\nnon-Health Plan business (affiliated with United HealthCare or to which United\nHealthCare provides services) through contracts with United HealthCare; and\n\n         WHEREAS, PBM provides pharmaceutical benefits management and related\nservices and desires to contract with United HealthCare to provide such\nmanagement and services.\n\n         NOW, THEREFORE, in consideration of the terms and conditions set forth\nin this Agreement, the undersigned parties agree as follows:\n\n\nSECTION 1. DEFINITIONS\n\n         1.1.     DEFINITIONS. In addition to the capitalized terms defined\nelsewhere in this Agreement, the following terms shall have the following\nmeanings:\n\n         (a)      \"AVERAGE WHOLESALE PRICE\" or \"AWP\" means the average wholesale\n         price of the Covered Prescription Drug Services dispensed, utilizing\n         the current price list in the Blue Book and its supplements. If PBM\n         ceases to use the Blue Book and its supplements, PBM shall use such\n         other nationally recognized pricing source as PBM uses for all of its\n         remaining customers; or, if PBM uses more than one source, then the\n         source used for United HealthCare shall be the source mutually agreed\n         to by the parties. Under the Retail Pharmacy Program, AWP is based on\n         the package size submitted. Under the Mail Service Program, AWP is\n         based on package sizes of 100 units or 16 oz. quantities, or smaller\n         quantities if such quantities are not commercially available.\n\n         (b)      \"BENEFIT CONTRACT\" means a benefit plan that: (i) is\n         sponsored, purchased, issued or administered by Payor and (ii) contains\n         the terms and conditions of a Covered Person's coverage.
