(\"ABC\") with respect to the establishment of\na strategic alliance for the production of television\nprogramming for the ABC network.\n\n          The purpose of the alliance will be to enhance the\noverall program offering of the ABC network by providing ABC\nwith access to Disney programming on an ongoing basis,\nsubject to the provisions of this Agreement.  The key\ncomponents of this relationship are:\n\n          (1)  SATURDAY MORNING PROGRAMMING\n\n\n          During each of the three ABC programming seasons\ncommencing with the Fall 1996 season (or, at Disney's\noption, the Fall 1997 season), Disney shall provide to ABC,\nand ABC shall present, subject to pre-existing ABC\ncommitments, a full slate of Saturday morning (8 a.m. to\nnoon) programming designed for the children's market,\nconsisting of Disney-produced programs, including animation,\nand programming acquired by Disney from third parties. \nDisney shall create an overall programming environment for\nthis time period with a distinctive identity and\ninterstitial material reflecting Disney standards of\nquality.  Such programming shall, to the extent required by\nthe network, conform to the needs of the network to provide\naffiliates with programming responsive to the affiliates'\nobligation to air qualifying children's programming pursuant\nto FCC regulations.  \n\n\n          (2)  MAGICAL WORLD OF DISNEY\n\n\n          During each of the three ABC programming seasons\ncommencing with the Fall 1996 season, Disney shall provide\nto ABC, and ABC shall present, a weekly one-hour Disney-\nthemed program to be presented under the name \"Magical World\nof Disney\" or a similar name reasonably acceptable to both\nparties.  ABC shall run the program in a prime-time time\nslot determined by ABC after consultation with Disney.\n\n          (3)  SPECIALS\n\n\n          During each of the three ABC programming seasons\ncommencing with the Fall 1996 season, Disney shall provide\nto ABC, and ABC shall present, three prime-time specials,\neach being at least 60 minutes in length and presented in a\ntime slot determined by ABC after consultation with Disney,\nfeaturing Disney-themed materials (e.g., \"The Making of\nPocahontas\" or \"Disneyland's 40th Anniversary\").  \n\n          All programs provided to ABC pursuant to this\nAgreement shall be so provided (a) subject to ABC's ultimate\ncreative approval of content; provided that in the event any\nDisney program is disapproved, or a program series is\ncancelled, Disney shall have the right to provide, and ABC\nshall present, substitute programming subject to such\napproval; and (b) on terms and conditions consistent with\nthen-prevailing industry standards for comparable programs\n(including ABC's Standards and Practices requirements). \nEach party agrees to enter into definitive programming\nagreements with respect to such programs giving effect to\nsuch terms and conditions.  \n\n          This Agreement shall be terminable (a) by ABC, by\nwritten notice to Disney delivered within 60 days following\nany termination by ABC of the Agreement and Plan of\nReorganization, dated as of the date hereof, between Disney\nand ABC (the \"Reorganization Agreement\"), authorized by the\nReorganization Agreement in the event that (i) Disney does\nnot obtain approval of the FCC to consummate the\ntransactions contemplated by the Reorganization Agreement or\n(ii) ABC's or Disney's shareholders do not approve the\ntransactions contemplated by the Reorganization Agreement in\na shareholder vote thereon, (iii) failure to meet a\ncondition in Section 8.1 or 8.2 of the Reorganization\n\n\nAgreement that gives ABC a right of termination of the\nReorganization Agreement or (iv) termination under Section\n9.1, 9.2 or 9.3(b) or (c) of the Reorganization Agreement,\nand (b) by Disney, by written notice following any other\nauthorized termination of the Reorganization Agreement,\ndelivered to ABC no later than 90 days prior to the next\nscheduled first-run broadcast of the programs described in\nparagraphs (2) and (3) above or 180 days prior to the next\nscheduled first-run broadcast of the programs described in\nparagraph (1), whichever is earlier.  \n\n          If the foregoing correctly reflects your\nunderstanding of our agreement, please so indicate by\ncountersigning the enclosed copy of this letter whereupon\nthis letter shall constitute a binding agreement between\nDisney and ABC.\n\nVery truly yours,\n\n\/s\/ Michael D.
