{"id":42707,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/purchase-agreement-flash-electronics-inc-and-sonicwall-inc.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"purchase-agreement-flash-electronics-inc-and-sonicwall-inc","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/operations\/purchase-agreement-flash-electronics-inc-and-sonicwall-inc.html","title":{"rendered":"Purchase Agreement &#8211; FLASH Electronics Inc. and SonicWALL Inc."},"content":{"rendered":"<pre>\n                              Purchase Agreement\n                                    Between\n                            FLASH Electronics Inc.\n                                      and\n                                  SONICWALLs\n\n     This purchase agreement is entered into effect as of 9\/28\/99 between FLASH\nElectronics Inc. located at 4050 Starboard Drive, Fremont, CA 94538 and \nSONICWALL located at 5400 Betsy Ross Dr., Santa Clara, CA 95054.\n\n     This agreement is intended to define the basic business agreement between \nthe two companies. Additional details may be defined in subsequent business \nagreement.\n\n     Under the agreement FLASH Electronics will provide custom manufacturing \nservices to SONICWALL. These services include purchasing components, material \nmanagement, assembling of printed circuit boards, testing, troubleshooting, \nreworks, final assembly, packaging and shipping. The products will be covered by\na 6-month warrantee for workmanship to IPC 610 class 2 standards.\n\nPURCHASE OF MATERIAL\n\n     In order for FLASH to purchase material for SONICWALL products \nmanufacturing, SONICWALL will provide a 3 month hard copy Purchase Order plus a \n3 months rolling forecast. This forecast is required to allow sufficient time to\nplan and procure material in timely and orderly manner. It is understood that \nSONICWALL will be responsible for the costs of the 30 days material inventory, \nWIP inventory and unique SONICWALL materials (Enclosure, PWA, etc.,) at Flash \nElectronics. SONICWALL will also be liable for material with long leadtimes \nprovided Flash identifies such items in writing either as an attachment to this \nagreement or other mutually acceptable manner. Flash Electronics shall follow \ncommon industry practice to plan and buy in reasonable quantity to protect \nlead-time requirements, safety stock, minimum buy quantity and volume discounts \nif available.\n\nINVOICING AND PAYMENT\n\n     Subject to acceptance of Products and parts within 3 days of receiving, \ninvoices shall be due and payable thirty (30) days after the date of actual \nreceipt of the products or parts. Any other applicable discounts or price \nreductions shall be referenced on the invoice. Payments past 45 days may be \nsubject to 1.5% monthly finance charge.\n\nCANCELLATIONS\n\n     In the event SONICWALL decides to terminate a purchase order either \nactually or constructively (i.e. engineering change resulting in obsolescence.),\nSONICWALL liability, in addition to NCNR components, shall include excess or \nobsolete safety stock if these items are non-returnable such as open package and\nincomplete reel. SONICWALL will reimburse Flash Electronics the restocking\ncharge or other penalties required by component vendor. SONICWALL will also be\nliable for all work in process (WIP). Products in WIP and non-returnable\ncomponents will be shipped to SONICWALL 30 days from the date of\ncancellation notice.\n\n \n\nPage 2 Flash Purchase agreement\n\n\nRESCHEDULES\n\nSONICWALL shall not cancel nor reschedule the delivery date if it is within 30 \ndays of the original scheduled date. However a 50% adjustment in quantity is \nacceptable for increased quantity and 30% adjustment for decreased quantity \nbetween 30 and 60 days of the original scheduled date. A change in total \nquantity is acceptable beyond the 60 days delivery window as long as SONICWALL\nagrees to buy back the NCNR material in excess of 60 days supply based on the\nnew schedule. In return, Flash shall purchase from SONICWALL before buying them\nfrom other supplies for future demand.\n\nFREIGHT AND SHIPPING CONTAINERS\n\n     Flash will follow SONICWALL instructions in the selection of freight \ncarrier and to determine shipping priority. SONICWALL shall provide complete \npacking instruction and a list packing material. Shipments will be FOB Fremont \nbilled to SONICWALL freight account. Flash will provide free local pick up and \ndelivery with company vehicles to SONIC facility within 30 miles distance of the\nFlash Fremont facility.\n\nTERMINATION OF THIS CONTRACT\n\n     Either party may terminate this agreement, by a written notice to the other\nparty not less than 180 days prior to the effective date of such termination. \nThe termination of this agreement shall in no way relieve either party of any\nsum of money and liability that have accrued prior to such termination.\n\nBy: \/s\/ Michael J.
