Market Development Fund (MDF) Guidelines

– Reseller will submit plans for marketing the Products to
\n Handspring, which must approve such marketing plan prior to its
\n execution. These marketing activities and their respective costs
\n will be agreed to in advance and approved in writing by Reseller
\n and Handspring.<\/p>\n
– Handspring will provide credits (so called Market Development
\n Funding (“MDF”)) that can be used against payments due from
\n Reseller to Handspring for the purchase of Products. These
\n credits are not transferable.<\/p>\n
– The Market Development Funding approved by Handspring is only
\n available to be used during the quarter that the allowance is
\n set aside for. Thus, advertising or marketing activities that
\n are approved for funding with Handspring MDF must be performed
\n during the quarter.<\/p>\n
– Funds not used for prior approved activities within a quarter
\n from their allowance date will be automatically forfeited.
\n Expired funds will not be reinstated or rolled over to another
\n quarter.<\/p>\n
– Handspring must be invoiced within 90 days of completion of the
\n activity. For example, allowances granted January 1 and executed
\n on March 1 must be invoiced by the end of June of the same year.<\/p>\n
– Pre-billing and or debiting of Handspring for marketing
\n activities is not permitted.<\/p>\n
– Handspring must be provided with a detailed rate card that
\n outlines costs, circulation and reach of each activity.<\/p>\n
– Only advertisements, which adhere to the Handspring Minimum
\n Advertising Pricing Policy (a current copy of which is attached
\n to these Guidelines) are eligible for reimbursement.<\/p>\n
– Approved activities must be fully completed by Reseller as
\n promised and verified by Handspring within the time limits
\n agreed to in advance. Reseller will refund the unexecuted
\n portion of the activity or provide HANDSPRING with an equal value
\n in another area of promotion that is agreed to by Reseller and
\n Handspring. For example, if Handspring approves an end cap for
\n $10,000 in all Reseller stores, and Reseller only executes end
\n caps in 70% of stores, Reseller agrees to refund or provide
\n Handspring with $3,000 of value in another area of promotion
\n approved by Reseller and Handspring.<\/p>\n

It is Handspring’s policy not to pay for advertisements that are not
\npre-approved and in compliance with the Handspring Minimum Advertised Price
\n(“MAP”) policy. Reseller maintains complete discretion as to its pricing
\npractices. However, to be eligible for reimbursement, Reseller’s advertisements
\nmust comply with the following guidelines:<\/p>\n
– Pricing in Reseller advertisements must be equal to or higher
\n than the minimum advertised price reflected in current Price
\n List shown as “Exhibit A”. An advertisement where no pricing is
\n shown is considered to be in compliance.<\/p>\n
– Deviations of up to one dollar ($0.99) above or below MAP prices
\n are allowable to accommodate various Reseller’s pricing
\n practices.<\/p>\n
– Specific product(s) or model(s) by SKU or model numbers must be
\n designated in ad.<\/p>\n
– Two or more Handspring products advertised and sold together may
\n not be advertised at less than the combined MAP of the two
\n Products.<\/p>\n
– Advertisements of Handspring product with free goods must be
\n submitted to Handspring for approval.<\/p>\n
– Advertisements, which show Handspring Product bundled with any
\n other products, must be submitted to Handspring for prior
\n approval.<\/p>\n
– Advertisements that include rebates general in-store rebates,
\n service sign-up rebates, category rebates or other financial
\n mechanisms to lower the price of Product must be submitted to
\n Handspring for approval.<\/p>\n
– Any violations of Handsprings MAP policy will result in
\n non-payment for advertisement vehicle that deviates from MAP
\n guidelines.<\/p>\n
Handspring is in no way responsible for or involved with Reseller pricing
\ndecisions. It is Handspring’s policy not to pay for advertisements that are not
\npre-approved and in compliance with the Handspring MAP policy.<\/p>\n

Price Protection Guidelines

As an authorized Reseller of Products, Reseller is eligible to receive price
\nprotection In accordance with Handspring’s price protection policy. In the event
\nof such a price reduction, Handspring will notify Reseller in advance and in
\nwriting of price reduction and supply Reseller with a price protection claim
\nform and price protection program number to reference when claiming price
\nprotection. This notification will identify the part and model number of the
\nProduct to be price protected, the new price, the amount of the price protection
\nper unit and the effective date of the price reduction. Reseller will be
\neligible to receive this amount per unit of said Product Reseller has in
\ninventory at the time of the price reduction if claimed and processed in
\naccordance with Handspring price protection guidelines.<\/p>\n
– To be eligible for price protection, Reseller must provide
\n electronic Product Inventory and sell through reports to
\n Handspring on a weekly basis. These reports must show all
\n Product inventory owned by reseller including inventory in
\n transit to or from its warehouses, cross dock facilities,
\n distribution centers, Returned Merchandise Authorization (RMA)
\n centers, stores or other Product inventory locations. Inventory
\n in locations not visible through these reports is not eligible
\n for price protection by Handspring. Electronic reports must be
\n in the form of EDI or other generally accepted system for and
\n taken from the Reseller’s inventory tacking or Enterprise
\n computing system. Manual inventory reports or other electronic
\n form outside of the guidelines will not be accepted unless
\n agreed to in advance, in writing by Handspring. Handspring, at
\n their option, may use Reseller’s mainframe inventory reporting
\n system (SMHI), until an agreeable EDI system is in place.<\/p>\n
– Handspring and Reseller will validate and acknowledge Reseller
\n inventory reports with and credit Reseller for each unit
\n eligible for price protection the difference new and old
\n Reseller costs based on the inventory reports provided by
\n Reseller.<\/p>\n
– Only product purchased directly from Handspring is eligible for
\n price protection. Demo units, close outs or special purchases
\n are excluded from this price protection policy unless otherwise
\n approved, in writing, by Handspring.<\/p>\n
– Only Products reflected in current Handspring price lists is
\n eligible for price protection.<\/p>\n
– At Handspring’s expense upon reasonable notice, at reasonable
\n times and places, Handspring reserves the right to validate
\n Reseller inventory claims by third party audit at any time and
\n requires Reseller to keep sufficient records for a period of 18
\n months.<\/p>\n
– Once a credit has been signed for and acknowledged by both
\n parties, no additional claims will be allowed.<\/p>\n
– Debits for price reductions will not be accepted by Handspring;
