Box 66100\nChicago, Illinois  60666\n\n\nSubject:     Side Letter Agreement to Letter Agreement\n             No. 6-1162-DLJ-1123 to Purchase Agreement No.\n             1663 - [*CONFIDENTIAL MATERIAL OMITTED AND\n             FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE\n             COMMISSION PURSUANT TO A REQUEST FOR CONFIDENTIAL\n             TREATMENT] ; Termination Of Side Letter\n\n\nGentlemen:\n\nReference is made to Letter Agreement No. 6-1162-DLJ-1123 (the\n'Letter Agreement') to Purchase Agreement No. 1663 (as\npreviously amended and supplemented, including all previously\nexecuted letter agreements, the 'Purchase Agreement') among The\nBoeing Company ('Boeing'), United Air Lines, Inc. ('United')\nand United Worldwide Corporation ('Worldwide') relating to the\nsale by Boeing and the purchase by United and Worldwide\n(collectively the 'Buyer') of Model 777 aircraft.\n\nThis letter amendment (this 'Letter Amendment'), when accepted\nby Buyer, will become part of the Letter Agreement and part of\nthe Purchase Agreement, and will evidence our further agreement\nwith respect to the matters net forth below.\n\nAll terms used herein and in the Letter Agreement, and not\ndefined herein, shall have the same meaning as in the Letter\nAgreement.  If there is any inconsistency between the terms of\nthis Letter Amendment and the Letter Agreement or the Purchase\nAgreement, the terms of this Letter Amendment will govern.\n\n[*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY WITH THE\nSECURITIES AND EXCHANGE COMMISSION PURSUANT TO A REQUEST FOR\nCONFIDENTIAL TREATMENT]\n\n\n3.
