{"id":42873,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/supplemental-agreement-to-purchase-agreement-no-1670-united10.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"supplemental-agreement-to-purchase-agreement-no-1670-united10","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/operations\/supplemental-agreement-to-purchase-agreement-no-1670-united10.html","title":{"rendered":"Supplemental Agreement to Purchase Agreement No. 1670 &#8211; United Air Lines Inc. and The Boeing Co."},"content":{"rendered":"<pre>               Supplemental Agreement No. 13\n\n                             to\n\n                Purchase Agreement No. 1670\n\n                           between\n\n                     The Boeing Company\n\n                             and\n\n                    UNITED AIR LINES, INC.\n\n          Relating to Boeing Model 747-422 Aircraft\n\n\n     THIS SUPPLEMENTAL AGREEMENT, entered into as of the 10th day of\nFebruary, 1999, by and between THE BOEING COMPANY, a Delaware\ncorporation (hereinafter called Boeing), and UNITED AIR LINES, INC.,\na Delaware corporation, (hereinafter called Buyer);\n\n\n                         W I T N E S S E T H:\n                         -------------------\n\n     WHEREAS, the parties hereto entered into an agreement dated as\nof December 18, 1990, relating to Boeing Model 747-422 aircraft\n(hereinafter referred to as the 'Aircraft'), which agreement, as\namended, together with all exhibits and specifications attached\nthereto and made a part thereof which is hereinafter called the\n'Purchase Agreement' and;\n\n     WHEREAS, Buyer has requested to substitute nine (9) 777-222 'B'\nMarket Aircraft for seven (7) 747-422 Aircraft [*CONFIDENTIAL\nMATERIAL OMITTED AND FILED SEPARATELY WITH THE SECURITIES AND\nEXCHANGE COMMISSION PURSUANT TO A REQUEST FOR CONFIDENTIAL\nTREATMENT],\n\n     NOW THEREFORE, in consideration of the mutual covenants herein\ncontained, the parties hereto agree to supplement the Purchase\nAgreement as follows:\n\n\n1.   Article 2, entitled Delivery of Aircraft; Title and Risk of\nLoss, paragraph 2.1 is hereby revised by deleting the Aircraft shown\nfor delivery in [*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY\nWITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO A REQUEST\nFOR CONFIDENTIAL TREATMENT].\n\n\nP. A. 1670                  S13-1                             SA 13\n\n\n2.   Article 5, entitled Payment, paragraph 5.1, entitled Advance\nPayment Base Price, is hereby revised by deleting the Aircraft shown\nfor delivery in [*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY\nWITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO A REQUEST\nFOR CONFIDENTIAL TREATMENT] Aircraft and the associated Advance\nPayment Base Prices.\n\n\n3.   The table in Paragraph 2 entitled 'Delivery' of Letter\nAgreement No. 1670-5R entitled 'Option Aircraft' is revised by\ndeleting the Model 747-422 Option Aircraft scheduled for delivery in\n[*CONFIDENTIAL MATERIAL OMITTED AND FILED SEPARATELY WITH THE\nSECURITIES AND EXCHANGE COMMISSION PURSUANT TO A REQUEST FOR\nCONFIDENTIAL TREATMENT].\n\n4.   Paragraph 5.1 (untitled) in Letter Agreement No. 1670-5R is\nrevised by deleting the period and adding the following at the end\nof the paragraph:\n\n     ', except with respect to the Option aircraft scheduled for\n     delivery in [*CONFIDENTIAL MATERIAL OMITTED AND FILED\n     SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION\n     PURSUANT TO A REQUEST FOR CONFIDENTIAL TREATMENT]'\n\n\n5.   For clarity, Boeing and Buyer agree that the nine 777-222 'B'\nMarket Aircraft substituted for the [*CONFIDENTIAL MATERIAL OMITTED\nAND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION\nPURSUANT TO A REQUEST FOR CONFIDENTIAL TREATMENT] Aircraft are the\nnine 'Block D 'B' Market Aircraft' added to Purchase Agreement 1663\nin Supplemental Agreement 8 thereto, [*CONFIDENTIAL MATERIAL OMITTED\nAND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION\nPURSUANT TO A REQUEST FOR CONFIDENTIAL TREATMENT].\n\n\nThe Purchase Agreement shall be deemed to be supplemented to the\nextent herein provided and as so supplemented shall continue in full\nforce and effect.\n\n\n\nEXECUTED IN DUPLICATE as of the day and year first above written.\n\nACCEPTED AND AGREED TO:\n\n\n\nTHE BOEING COMPANY                 UNITED AIR LINES, INC.\n\n\nBy  \/s\/ Brian R.
