{"id":42907,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/technology-purchase-and-license-agreement-rafael-armament.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"technology-purchase-and-license-agreement-rafael-armament","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/operations\/technology-purchase-and-license-agreement-rafael-armament.html","title":{"rendered":"Technology Purchase and License Agreement &#8211; Rafael Armament Development Authority and Given Imaging Ltd."},"content":{"rendered":"<pre>\nTECHNOLOGY PURCHASE AND LICENSE AGREEMENT\n\nMade and entered into on the __ day of January, 1998\n\nand Between:\n\nRAFAEL ARMAMENT DEVELOPMENT AUTHORITY\nof the Israeli Ministry of Defense\nof POB 2250 Haifa 31021 Israel\n(hereinafter called \"RAFAEL\")\n\n and:\n\n GIVEN IMAGING LTD.\na private company incorporated under the laws of the State of Israel\n PC #51-257802-2\n(hereinafter called, the \"COMPANY\")\n\n\nWHEREAS, Rafael has developed and owns the Project and the Technology, \nas\ndefined and specified below; and\n\n WHEREAS, The Company desires to purchase from Rafael, and Rafael \n desires\nto sell to the Company, the Project and the Project's Technology, and \nto grant\nthe Company an exclusive license to use the Other Technology within \nthe\nCompany's Field of License, all as defined and specified below and \nsubject to\nthe terms and conditions set forth herein;\n\nNOW, THEREFORE, the parties hereto hereby agree as follows:\n\n1. DEFINITIONS.\n\nIn this Technology Purchase and License Agreement the following words \nand\nexpressions shall bear the meanings set opposite them:\n\nthe \"Agreement\"       this Technology Purchase and License Agreement, \nthe\npreamble and all exhibits and schedules thereto;\n\n\"Improvements\"        all improvements, enhancements or modifications \nto \nthe Project's Technology made by either party \n during the term of this Agreement;\n\n\n\"Global Patent        the Global Patent Assignment in the form attached\n to\nAssignment\"          this Agreement as EXHIBIT A;\n\nthe \"Patents\"         the patents and patent applications, as \nidentified \nin EXHIBIT B hereto;\n\nthe \"Project\"         An in vivo video camera and an autonomous video \nendoscope, including a swallowable capsule with a \ncamera and an optical system, a transmitter and a\nreception system;\n\n\n\n\nthe \"Technology\"      the existing unclassified documented know-how and\n intellectual property developed by Rafael, and\nspecifically used at Rafael for the Project, \n including the Patents and other patents and patent\napplications, if any, the prototypes, drawings, \ndesigns, diagrams, computer programs and their \nsources, design assurance data and other tangible\ntechnical information used at Rafael for the \n Project;\n\nthe \"Project's       the Patents, the prototypes, and such other part \nof\nTechnology\"          Technology which was developed by Rafael \nspecifically for the Project;\n\nthe \"Other           any Technology other than the Project's Technology,\nTechnology\"          and which shall, when delivered in tangible form to\nthe Company, be marked as \"Other Technology\";\n\n       the \"Company's       the license granted by Rafael to the<\/pre>\n","protected":false},"template":"","meta":{"_acf_changed":false,"_stopmodifiedupdate":true,"_modified_date":"","_cloudinary_featured_overwrite":false},"corporate_contracts_companies":[7641],"corporate_contracts_industries":[9438],"corporate_contracts_types":[9613,9616],"class_list":["post-42907","corporate_contracts","type-corporate_contracts","status-publish","hentry","corporate_contracts_companies-given-imaging-ltd","corporate_contracts_industries-health__misc","corporate_contracts_types-operations","corporate_contracts_types-operations__ip"],"acf":[],"_links":{"self":[{"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/corporate_contracts\/42907","targetHints":{"allow":["GET"]}}],"collection":[{"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/corporate_contracts"}],"about":[{"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/types\/corporate_contracts"}],"wp:attachment":[{"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/media?parent=42907"}],"wp:term":[{"taxonomy":"corporate_contracts_companies","embeddable":true,"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/corporate_contracts_companies?post=42907"},{"taxonomy":"corporate_contracts_industries","embeddable":true,"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/corporate_contracts_industries?post=42907"},{"taxonomy":"corporate_contracts_types","embeddable":true,"href":"https:\/\/corporate.findlaw.com\/legal-api\/wp-json\/wp\/v2\/corporate_contracts_types?post=42907"}],"curies":[{"name":"wp","href":"https:\/\/api.w.org\/{rel}","templated":true}]}}
