(&#8220;CSC&#8221;), a Delaware<br \/>\ncorporation with a place of business at 8000 Republic Airport Hangar 5,<br \/>\nFarmingdale, New York 11735 (&#8220;Lessor&#8221;), and DAVID G. ELLEN, with a mailing<br \/>\naddress at 1111 Stewart Avenue, Bethpage, NY 11714 (&#8220;Lessee&#8221;).<\/p>\n<\/p>\n<\/p>\n<p align=\"center\"><u>W<\/u> <u>I<\/u> <u>T<\/u> <u>N<\/u> <u>E<\/u> <u>S<\/u> <u>S<\/u><br \/>\n<u>E<\/u> <u>T<\/u> <u>H<\/u>:<\/p>\n<p align=\"center\">\n<\/p>\n<\/p>\n<p>WHEREAS, CSC is the lessee and the operator of a Gulfstream Aerospace G-V<br \/>\naircraft, manufacturer153s serial number 639, United States registration N501CV<br \/>\n(the &#8220;Aircraft&#8221;); and<\/p>\n<\/p>\n<p>WHEREAS, Lessor employs a fully-qualified and credentialed flight crew to<br \/>\noperate the Aircraft; and<\/p>\n<\/p>\n<\/p>\n<p>WHEREAS, Lessor has agreed to lease the Aircraft, with flight crew, to Lessee<br \/>\non a &#8220;time sharing&#8221; basis as defined in Section 91.501(c)(1) of the Federal<br \/>\nAviation Regulations (&#8220;FAR&#8221;) upon the terms and subject to the conditions set<br \/>\nforth herein;<\/p>\n<\/p>\n<\/p>\n<p>NOW, THEREFORE, in consideration of the foregoing premises, and the covenants<br \/>\nand agreements set forth herein, and for other good and valuable consideration,<br \/>\nthe receipt and sufficiency of which are acknowledged, Lessor and Lessee,<br \/>\nintending to be legally bound, hereby agree as follows:<\/p>\n<\/p>\n<\/p>\n<p>1. <u>Lease of Aircraft<\/u>. Lessor agrees to lease the Aircraft to Lessee<br \/>\npursuant to the provisions of FAR Section 91.501(b)(6) and Section 91.501(c)(1)<br \/>\nand this Agreement, and to provide a fully-qualified and credentialed flight<br \/>\ncrew for all flights to be conducted hereunder during the Term (as defined in<br \/>\nSection 13) hereof. The parties acknowledge and agree that this Agreement did<br \/>\nnot result in any way from any direct or indirect advertising, holding out or<br \/>\nsoliciting on the part of Lessor or any person purportedly acting on behalf of<br \/>\nLessor. Lessor and Lessee intend that the lease of the Aircraft effected by this<br \/>\nAgreement shall be treated as a &#8220;wet lease&#8221; pursuant to which Lessor provides<br \/>\ntransportation services to Lessee in accordance with FAR Section 91.501(b)(6)<br \/>\nand Section 91.501(c)(1).<\/p>\n<\/p>\n<\/p>\n<p>2. <u>Payment for Use of Aircraft<\/u>. Lessee shall pay Lessor the following<br \/>\nactual expenses of each flight conducted under this Agreement (i.e. non-business<br \/>\nflights for which reimbursement is required in accordance with Lessor153s<br \/>\npolicies), not to exceed the maximum amount legally payable for such flight<br \/>\nunder FAR Section 91.501(d)(1)-(10):<\/p>\n<\/p>\n<\/p>\n<table style=\"width: 100%;\" width=\"100%\" cellpadding=\"0\" class=\" \" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"96\" valign=\"top\"><\/td>\n<td width=\"48\" valign=\"top\">\n<p>(a)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>fuel, oil, lubricants and other additives;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n<p align=\"center\">1<\/p>\n<p align=\"center\">\n<hr>\n<\/p>\n<table style=\"width: 100%;\" width=\"100%\" cellpadding=\"0\" class=\" \" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"96\" valign=\"top\"><\/td>\n<td width=\"48\" valign=\"top\">\n<p>(b)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>travel expenses of crew, including food, lodging and ground transportation;\n<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n<table style=\"width: 100%;\" width=\"100%\" cellpadding=\"0\" class=\" \" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"96\" valign=\"top\"><\/td>\n<td width=\"48\" valign=\"top\">\n<p>(c)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>hangar and tie-down costs away from the Aircraft&#8217;s base of operation;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n<table style=\"width: 100%;\" width=\"100%\" cellpadding=\"0\" class=\" \" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"96\" valign=\"top\"><\/td>\n<td width=\"48\" valign=\"top\">\n<p>(d)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>additional insurance obtained for the specific flight at the request of<br \/>\nLessee;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n<table style=\"width: 100%;\" width=\"100%\" cellpadding=\"0\" class=\" \" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"96\" valign=\"top\"><\/td>\n<td width=\"48\" valign=\"top\">\n<p>(e)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>landing fees, airport taxes and similar assessments;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n<table style=\"width: 100%;\" width=\"100%\" cellpadding=\"0\" class=\" \" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"96\" valign=\"top\"><\/td>\n<td width=\"48\" valign=\"top\">\n<p>(f)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>customs, foreign permit and similar fees directly related to the flight;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n<table style=\"width: 100%;\" width=\"100%\" cellpadding=\"0\" class=\" \" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"96\" valign=\"top\"><\/td>\n<td width=\"48\" valign=\"top\">\n<p>(g)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>in-flight food and beverages;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n<table style=\"width: 100%;\" width=\"100%\" cellpadding=\"0\" class=\" \" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"96\" valign=\"top\"><\/td>\n<td width=\"48\" valign=\"top\">\n<p>(h)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>in-flight telecommunication expenses;<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n<table style=\"width: 100%;\" width=\"100%\" cellpadding=\"0\" class=\" \" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"96\" valign=\"top\"><\/td>\n<td width=\"48\" valign=\"top\">\n<p>(i)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>passenger ground transportation; and<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n<table style=\"width: 100%;\" width=\"100%\" cellpadding=\"0\" class=\" \" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"96\" valign=\"top\"><\/td>\n<td width=\"48\" valign=\"top\">\n<p>(j)<\/p>\n<\/td>\n<td valign=\"top\">\n<p>flight planning and weather contract services.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<\/p>\n<p>3. <u>Operational Control of Aircraft<\/u>. Lessor and Lessee intend and agree<br \/>\nthat on all flights conducted under this Agreement, Lessor shall have complete<br \/>\nand exclusive operational control over the Aircraft, its flight crews and<br \/>\nmaintenance, and complete and exclusive possession, command and control of the<br \/>\nAircraft. Lessor shall have complete and exclusive responsibility for<br \/>\nscheduling, dispatching and flight following of the Aircraft on all flights<br \/>\nconducted under this Agreement, which responsibility includes the sole and<br \/>\nexclusive right over initiating, conducting and terminating such flights. Lessee<br \/>\nshall have no responsibility for scheduling, dispatching or flight following on<br \/>\nany flight conducted under this Agreement, nor any right over initiating,<br \/>\nconducting or terminating any such flight. Nothing in this Agreement is intended<br \/>\nor shall be construed so as to convey to Lessee any operational control over, or<br \/>\npossession, command and control of, the Aircraft, all of which are expressly<br \/>\nretained by Lessor.<\/p>\n<\/p>\n<\/p>\n<p>4. <u>Scheduling<\/u>.<\/p>\n<\/p>\n<\/p>\n<p>(a) Lessee will provide Lessor with requests for flight time and proposed<br \/>\nflight schedules as far in advance of any given flight as possible. Lessee or<br \/>\nthe designated authorized representative(s) of Lessee shall submit scheduling<br \/>\nrequests under this Agreement to the designated authorized representative(s) of<br \/>\nLessor. Requests for flight time shall be in such form (whether oral or written)<br \/>\nmutually convenient to, and agreed upon by, the parties. In addition to proposed<br \/>\nschedules and flight times, Lessee shall upon request provide Lessor with the<br \/>\nfollowing information for each proposed flight prior to scheduled departure: (i)<br \/>\nproposed departure point; (ii) destination; (iii) date and time of flight; (iv)<br \/>\nthe number of anticipated passengers; (v) the nature and extent of luggage to be<br \/>\ncarried; (vi) the date and time of a return flight, if any; and (vii) any other<br \/>\npertinent information concerning the proposed flight that Lessor or the flight<br \/>\ncrew may request.<\/p>\n<\/p>\n<\/p>\n<p align=\"center\">2<\/p>\n<p align=\"center\">\n<hr>\n<\/p>\n<p>(b) Subject to Aircraft and crew availability and to any usage limitations<br \/>\nestablished by Lessor, Lessor shall use its good faith efforts, consistent with<br \/>\nLessor153s approved policies, in order to accommodate the needs of Lessee, to<br \/>\navoid conflicts in scheduling, and to enable Lessee to enjoy the benefits of<br \/>\nthis Agreement; however, Lessee acknowledges and agrees that notwithstanding<br \/>\nanything in this Agreement to the contrary, (i) Lessor shall have sole and<br \/>\nexclusive final authority over the scheduling of the Aircraft; and (ii) the<br \/>\nneeds of Lessor for the Aircraft shall take precedence over Lessee153s rights and<br \/>\nLessor153s obligations under this Agreement.<\/p>\n<\/p>\n<\/p>\n<p>(c) Although every good faith effort shall be made to avoid its occurrence,<br \/>\nany flight scheduled under this Agreement is subject to cancellation by either<br \/>\nparty without incurring liability to the other party. In the event that<br \/>\ncancellation is necessary, the canceling party shall provide the maximum notice<br \/>\npracticable.<\/p>\n<\/p>\n<\/p>\n<p>5. <u>Billing<\/u>. Lessor shall pay all expenses relating to the operation of<br \/>\nthe Aircraft under this Agreement (in accordance with Section 2 hereof) on a<br \/>\nmonthly basis. As soon as possible after the end of each monthly period during<br \/>\nthe Term, Lessor shall provide to Lessee an invoice showing all use of the<br \/>\nAircraft by Lessee under this Agreement during that month and a complete<br \/>\naccounting detailing all amounts payable by Lessee pursuant to Section 2 for<br \/>\nthat month, including such detail supporting all expenses paid or incurred by<br \/>\nLessor for which reimbursement is sought as Lessee may reasonably request.<br \/>\nLessee shall pay all amounts due to Lessor under this Section 5 not later than<br \/>\n30 days after receipt of the invoice therefor.<\/p>\n<\/p>\n<\/p>\n<p>6. <u>Maintenance of Aircraft<\/u>. Lessor shall be solely responsible for<br \/>\nsecuring maintenance, preventive maintenance and inspections of the Aircraft<br \/>\n(utilizing an inspection program listed in FAR Section 91.409(f)), and shall<br \/>\ntake such requirements into account in scheduling the Aircraft hereunder.<\/p>\n<\/p>\n<\/p>\n<p>7. <u>Flight Crew<\/u>.<\/p>\n<\/p>\n<\/p>\n<p>(a) Lessor shall employ or engage and pay all salaries, benefits and\/or<br \/>\ncompensation for a fully-qualified flight crew with appropriate credentials to<br \/>\nconduct each flight undertaken under this Agreement. Lessor may use temporary<br \/>\nflight crewmembers for a flight under this Agreement only if any such temporary<br \/>\ncrewmember is FlightSafety (or SimuFlite) trained, is current on the Aircraft<br \/>\nand satisfies all of the requirements and conditions under the insurance<br \/>\ncoverage for the Aircraft. All flight crewmembers shall be included on any<br \/>\ninsurance policies that Lessor is required to maintain hereunder.<\/p>\n<\/p>\n<\/p>\n<p>(b) The qualified flight crew provided by Lessor shall exercise all of its<br \/>\nduties and responsibilities with regard to the safety of each flight conducted<br \/>\nhereunder in accordance with applicable FAR153s. The Aircraft shall be operated<br \/>\nunder the standards and policies established by Lessor. Final authority to<br \/>\ninitiate or terminate each flight, and otherwise to decide all matters relating<br \/>\nto the safety of any given flight or requested flight, shall rest with the<br \/>\npilot-in-command of that flight. The flight crew may, in its sole discretion,<br \/>\nterminate any flight, refuse to commence any flight, or take any other action<br \/>\nthat, in the judgment of the pilot-in-command, is necessitated by considerations<br \/>\nof safety. No such termination or refusal to commence by the pilot-in-command<br \/>\nshall create or support any liability for loss, injury, damage or delay in favor<br \/>\nof Lessee or any other person. Lessor shall not be liable to Lessee or any other<br \/>\nperson for loss, injury or damage occasioned by the delay or failure to furnish<br \/>\nthe Aircraft and flight crew pursuant to this Agreement for any reason.<\/p>\n<\/p>\n<\/p>\n<p align=\"center\">3<\/p>\n<p align=\"center\">\n<hr>\n<\/p>\n<table style=\"width: 100%;\" width=\"100%\" cellpadding=\"0\" class=\" \" border=\"0\" cellspacing=\"0\">\n<tbody>\n<tr>\n<td width=\"48\" valign=\"top\"><\/td>\n<td width=\"48\" valign=\"top\">\n<p>8.<\/p>\n<\/td>\n<td valign=\"top\">\n<p><u>Insurance<\/u>.<\/p>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p>(a) At all times during the Term of this Agreement, Lessor shall maintain at<br \/>\nits sole cost and expense (i) comprehensive aircraft and liability insurance<br \/>\nagainst bodily injury and property damage claims, including, without limitation,<br \/>\ncontractual liability, premises damage, personal property liability, personal<br \/>\ninjury liability, death and property damage liability, public and passenger<br \/>\nlegal liability coverage, in an amount not less than $100,000,000 for each<br \/>\nsingle occurrence and (ii) hull insurance for the full replacement cost of the<br \/>\naircraft.<\/p>\n<\/p>\n<p>(b) Any policies of aircraft and liability insurance carried in accordance<br \/>\nwith this Section 8 and any policies taken out in substitution or replacement of<br \/>\nany such policies (i) shall name Lessee and his employees, agents, licensees,<br \/>\nservants and guests as additional insured; (ii) shall provide for 30 days<br \/>\nwritten notice to Lessee by such insurer of cancellation, change, non-renewal or<br \/>\nreduction (seven days in the case of war risk and allied perils coverage or such<br \/>\nshorter period as is customarily available in the industry); (iii) shall provide<br \/>\nthat in respect of the interests of Lessee in such policies, the insurance shall<br \/>\nnot be invalidated by any action or inaction of Lessor regardless of any breach<br \/>\nor violation of any warranties, declarations or conditions contained in such<br \/>\npolicies by or binding upon Lessor; and (iv) shall permit the use of the<br \/>\nAircraft by Lessor for compensation or hire to the extent permitted under<br \/>\napplicable law. Each such policy shall be primary insurance, not subject to any<br \/>\nco-insurance clause and shall be without right of contribution from any other<br \/>\ninsurance.<\/p>\n<\/p>\n<p>(c) Lessor shall use reasonable commercial efforts to provide such additional<br \/>\ninsurance coverage for specific flights under this Agreement, if any, as Lessee<br \/>\nmay request in writing. Lessee also acknowledges that any trips scheduled to the<br \/>\nEuropean Union may require Lessor to purchase additional insurance to comply<br \/>\nwith local regulations. The cost of all additional flight-specific insurance<br \/>\nshall be borne by Lessee as set forth in Section 2(d) hereof.<\/p>\n<\/p>\n<\/p>\n<p>(d) Each party agrees that it will not do any act or voluntarily suffer or<br \/>\npermit any act to be done whereby any insurance required hereunder shall or may<br \/>\nbe suspended, impaired or defeated. In no event shall Lessor suffer or permit<br \/>\nthe Aircraft to be used or operated under this Agreement without such insurance<br \/>\nbeing fully in effect.<\/p>\n<\/p>\n<p>(e) Lessor shall ensure that worker153s compensation insurance with all-states<br \/>\ncoverage is provided for the Aircraft153s crew and maintenance personnel.<\/p>\n<\/p>\n<p>(f) Lessor shall deliver certificates of insurance to Lessee with respect to<br \/>\nthe insurance required or permitted to be provided by it hereunder not later<br \/>\nthan the first flight of the Aircraft under this Agreement and upon the renewal<br \/>\ndate of each policy.<\/p>\n<\/p>\n<\/p>\n<p align=\"center\">4<\/p>\n<p align=\"center\">\n<hr>\n<\/p>\n<p>9. <u>Taxes<\/u>. Lessee shall be responsible for paying, and Lessor shall be<br \/>\nresponsible for collecting from Lessee and paying over to the appropriate<br \/>\nauthorities, all applicable Federal transportation taxes and sales, use or other<br \/>\nexcise taxes imposed by any governmental authority in connection with any use of<br \/>\nthe Aircraft by Lessee hereunder. Each party shall indemnify the other party<br \/>\nagainst any and all claims, liabilities, costs and expenses (including<br \/>\nattorney153s fees as and when incurred) arising out of its breach of this<br \/>\nundertaking.<\/p>\n<\/p>\n<\/p>\n<p>10. <u>Lessee&#8217;s Representations and Warranties<\/u>. Lessee represents and<br \/>\nwarrants that:<\/p>\n<\/p>\n<\/p>\n<p>(a) He will not use the Aircraft for the purposes of providing transportation<br \/>\nof passengers or cargo in air commerce for compensation or hire or for common<br \/>\ncarriage.<\/p>\n<\/p>\n<\/p>\n<p>(b) He shall refrain from incurring any mechanic153s or other liens in<br \/>\nconnection with inspection, preventive maintenance, maintenance or storage of<br \/>\nthe Aircraft, and shall not attempt to convey, mortgage, assign, lease or in any<br \/>\nway alienate the Aircraft or create any kind of lien or security interest<br \/>\ninvolving the Aircraft or do anything or take any action that might mature into<br \/>\nsuch a lien.<\/p>\n<\/p>\n<p>(c) He shall not lien or otherwise encumber or create or place any lien or<br \/>\nother encumbrance of any kind whatsoever, on or against the Aircraft for any<br \/>\nreason. He also will ensure that no liens or encumbrances of any kind whatsoever<br \/>\nare created or placed against the Aircraft for claims against Lessee or by<br \/>\nLessee.<\/p>\n<\/p>\n<p>(d) He will abide by and conform to all laws, governmental and airport<br \/>\norders, rules and regulations, as shall be imposed upon the lessee of an<br \/>\naircraft under a time sharing agreement, and applicable company policies of<br \/>\nLessor.<\/p>\n<\/p>\n<p>11. <u>Lessor&#8217;s Representations and Warranties<\/u>. Lessor represents and<br \/>\nwarrants that it will abide by and conform to all such laws, governmental and<br \/>\nairport orders, rules and regulations, as shall from time to time be in effect<br \/>\nrelating in any way to the operation and use of the Aircraft pursuant to this<br \/>\nAgreement.<\/p>\n<\/p>\n<\/p>\n<p>12. <u>Disclaimer of Warranties<\/u>. EXCEPT AS EXPRESSLY SET FORTH IN THIS<br \/>\nAGREEMENT, LESSOR HAS MADE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED,<br \/>\nWITH RESPECT TO THE AIRCRAFT, INCLUDING ANY WITH RESPECT TO ITS CONDITION,<br \/>\nMERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT SHALL EITHER<br \/>\nPARTY BE LIABLE TO THE OTHER PARTY OR TO ANY OTHER PERSON FOR ANY INCIDENTIAL,<br \/>\nCONSEQUENTIAL OR SPECIAL DAMAGES, HOWEVER ARISING.<\/p>\n<\/p>\n<\/p>\n<p align=\"center\">5<\/p>\n<p align=\"center\">\n<hr>\n<\/p>\n<p>13. <u>Term.<\/u> The term of this Agreement (the &#8220;Term&#8221;) shall commence on<br \/>\nthe effective date hereof and, unless terminated in accordance with the<br \/>\nprovisions hereof, shall remain in full force in effect for an initial term<br \/>\nending on December 31, 2012 and thereafter shall automatically renew for<br \/>\nsuccessive one-year terms. Notwithstanding the foregoing, either party shall<br \/>\nhave the right to terminate this Agreement for any reason or no reason by<br \/>\nwritten notice given to the other party not less than 30 days prior to the<br \/>\nproposed termination date.<\/p>\n<\/p>\n<\/p>\n<p>14. <u>Limitation of Liability<\/u>. Lessee, for himself and on behalf of his<br \/>\nagents, guests, invitees, licensees, servants and employees, covenants and<br \/>\nagrees that the insurance described in Section 8 hereof shall be the sole<br \/>\nrecourse for any and all liabilities, claims, demands, suits, causes of action,<br \/>\nlosses, penalties, fines, expenses or damages, including attorneys fees, court<br \/>\ncosts and witness fees, attributable to the use, operation or maintenance of the<br \/>\nAircraft pursuant to this Agreement or performance of or failure to perform any<br \/>\nobligation under this Agreement.<\/p>\n<\/p>\n<\/p>\n<p>15. <u>Relationship of Parties<\/u>. Lessor is strictly an independent<br \/>\ncontractor lessor\/provider of transportation services with respect to Lessee.<br \/>\nNothing in this Agreement is intended, nor shall it be construed so as, to<br \/>\nconstitute the parties as partners or joint venturers or principal and agent.<br \/>\nAll persons furnished by Lessor for the performance of the operations and<br \/>\nactivities contemplated by this Agreement shall at all times and for all<br \/>\npurposes be considered Lessor153s employees or agents.<\/p>\n<\/p>\n<\/p>\n<p>16. <u>Governing Law; Severability<\/u>. This Agreement shall be governed by<br \/>\nand interpreted in accordance with the laws of the State of New York, without<br \/>\nregard to its choice of law rules. If any provision of this Agreement conflicts<br \/>\nwith any statute or rule of law of the State of New York, or is otherwise<br \/>\nunenforceable, such provision shall be deemed null and void only the extent of<br \/>\nsuch conflict or unenforceability, and shall be deemed separate from, and shall<br \/>\nnot invalidate, any other provision of this Agreement.<\/p>\n<\/p>\n<\/p>\n<p>17. <u>Amendment<\/u>. This Agreement may not be amended, supplemented,<br \/>\nmodified or terminated, or any of its terms varied, except by an agreement in<br \/>\nwriting signed by each of the parties hereto.<\/p>\n<\/p>\n<\/p>\n<p>18. <u>Counterparts<\/u>. This Time Sharing Agreement may be executed in<br \/>\ncounterparts, each of which shall, for all purposes, be deemed an original and<br \/>\nall such counterparts, taken together, shall constitute one and the same<br \/>\nagreement, even though all parties may not have executed the same counterpart.<br \/>\nEach party may transmit its signature by facsimile, and such faxed signature<br \/>\nshall have the same force and effect as an original signature.<\/p>\n<\/p>\n<\/p>\n<p>19. <u>Successors and Assigns<\/u>. This Time Sharing Agreement shall be<br \/>\nbinding upon the parties hereto, and their respective heirs, executors,<br \/>\nadministrators, other legal representatives, successors and assigns, and shall<br \/>\ninure to the benefit of the parties hereto, and, except as otherwise provided<br \/>\nherein, to their respective heirs, executors, administrators, other legal<br \/>\nrepresentatives, successors and permitted assigns. Lessee agrees that he shall<br \/>\nnot directly or indirectly sublease, assign, transfer, pledge or hypothecate<br \/>\nthis Agreement or any part hereof (including any assignment or transfer pursuant<br \/>\nto the laws of intestacy) without the prior written consent of Lessor, which may<br \/>\nbe given or withheld by Lessor in its sole and absolute discretion.<\/p>\n<\/p>\n<\/p>\n<p align=\"center\">6<\/p>\n<p align=\"center\">\n<hr>\n<\/p>\n<p>20. <u>Notices<\/u>. All notices or other communications delivered or given<br \/>\nunder this Agreement shall be in writing and shall be deemed to have been duly<br \/>\ngiven if hand-delivered, sent by certified or registered mail, return receipt<br \/>\nrequested, or nationally-utilized overnight delivery service, or confirmed<br \/>\nfacsimile transmission, as the case may be. Such notices shall be addressed to<br \/>\nthe parties at the addresses set forth above, or to such other address as may be<br \/>\ndesignated by any party in a writing delivered to the other in the manner set<br \/>\nforth in this Section 20. In the case of notices to Lessor, a copy of each such<br \/>\nnotice shall be sent to Cablevision Systems Corporation, 1111 Stewart Avenue,<br \/>\nBethpage, New York 11714, attention: General Counsel. Notices sent by certified<br \/>\nor registered mail shall be deemed received three business days after being<br \/>\nmailed. All other notices shall be deemed received on the date delivered.<br \/>\nRoutine communi -cations may be made by e-mail or fax to the ad -dresses set forth<br \/>\ntherein.<\/p>\n<\/p>\n<\/p>\n<p>21. <u>Truth-in-Leasing Compliance<\/u>. Lessor, on behalf of the Lessee,<br \/>\nshall (i) mail a copy of this Agreement to the Aircraft Registration Branch,<br \/>\nTechnical Section, of the FAA in Oklahoma City within 24 hours of its execution;<br \/>\n(ii) notify the Farmingdale Flight Standards District Office at least 48 hours<br \/>\nprior to the first flight by Lessor under this Agreement of the registration<br \/>\nnumber of the Aircraft, and the location of the airport of departure and<br \/>\ndeparture time of the first flight; and (iii) carry a copy of this Agreement<br \/>\nonboard the Aircraft at all times when the Aircraft is being operated under this<br \/>\nAgreement.<\/p>\n<\/p>\n<\/p>\n<p>22. <u>TRUTH IN LEASING STATEMENT UNDER FAR SECTION 91.23<\/u>:<\/p>\n<\/p>\n<\/p>\n<p>(A) LESSOR HEREBY CERTIFIES THAT THE AIRCRAFT HAS BEEN MAINTAINED AND<br \/>\nINSPECTED UNDER FAR PART 91 DURING THE 12-MONTH PERIOD PRECEDING THE DATE OF<br \/>\nEXECUTION OF THIS AGREEMENT.
