{"id":42935,"date":"2015-09-17T11:25:58","date_gmt":"2015-09-17T16:25:58","guid":{"rendered":"https:\/\/content.findlaw-admin.com\/ability-legal\/contracts\/uncategorized\/transfer-and-administration-agreement-worldcom-funding-corp.html"},"modified":"2015-09-17T11:25:58","modified_gmt":"2015-09-17T16:25:58","slug":"transfer-and-administration-agreement-worldcom-funding-corp","status":"publish","type":"corporate_contracts","link":"https:\/\/corporate.findlaw.com\/contracts\/operations\/transfer-and-administration-agreement-worldcom-funding-corp.html","title":{"rendered":"Transfer and Administration Agreement &#8211; WorldCom Funding Corp., WorldCom Inc., Enterprise Funding Corp., Sheffield Receivables Corp. and NationsBank NA"},"content":{"rendered":"<pre>\n\n                             AMENDMENT NUMBER 1 TO\n           AMENDED AND RESTATED TRANSFER AND ADMINISTRATION AGREEMENT\n\n\n\n              AMENDMENT NUMBER 1 TO AMENDED AND RESTATED TRANSFER AND\nADMINISTRATION AGREEMENT (this 'Amendment'), dated as of January 16, 1997 among\nWORLDCOM FUNDING CORPORATION, a Delaware corporation, as transferor (in such\ncapacity, the 'Transferor'), WORLDCOM, INC., a Georgia corporation,\nindividually, and as collection agent (in such capacity, the 'Collection\nAgent'), ENTERPRISE FUNDING CORPORATION, a Delaware corporation (the\n'Company'), SHEFFIELD RECEIVABLES CORPORATION  ('Sheffield') and NATIONSBANK,\nN.A., as Agent and Bank Investor, amending that certain Amended and Restated\nTransfer and Administration Agreement dated as of December 31, 1996 (the\n'Transfer and Administration Agreement').\n\n              WHEREAS, the Transferor, the Collection Agent, Sheffield,\nNationsBank, N.A. and the Company have agreed to make certain amendments to the\nTransfer and Administration Agreement.\n\n              NOW, THEREFORE, the parties hereby agree as follows:\n\n              SECTION 1. Defined Terms.  As used in this Amendment, capitalized\nterms shall have the same meanings assigned thereto in the Transfer and\nAdministration Agreement.\n\n              SECTION 2. Termination Events. Section 7.1(o) of the Transfer and\nAdministration Agreement is hereby amended by changing the percentage stated in\nthe third line thereof from 10% to 12%.\n\n              SECTION 3. Limited Scope.  This amendment is specific to the\ncircumstances described above and does not imply any future amendment or waiver\nof rights allocated to the Company, the Transferor, WorldCom, Inc. the\nCollection Agent, Sheffield, the Agent or any Bank Investor under the Transfer\nand Administration Agreement.\n\n              SECTION 4. Governing Law.  THIS AMENDMENT SHALL BE GOVERNED BY\nAND CONSTRUED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK.\n\n\n              SECTION 5. Severability; Counterparts.  This Amendment may be\nexecuted in any number of counterparts and by different parties hereto in\nseparate counterparts, each of which when so executed shall be deemed to be an\noriginal and all of which when taken together shall constitute one and the same\ninstrument.  Any provisions of this Amendment which are prohibited or\nunenforceable in any jurisdiction shall, as to such jurisdiction, be\nineffective to the extent of such prohibition or unenforceability without\ninvalidating the remaining provisions hereof, and any such prohibition or\nunenforceability in any jurisdiction shall not invalidate or render\nunenforceable such provision in any other jurisdiction.\n\n              SECTION 6. Ratification.  Except as expressly affected by the\nprovisions hereof, the Transfer and Administration Agreement as amended shall\nremain in full force and effect in accordance with its terms and ratified and\nconfirmed by the parties hereto.
